1980년 ‘국제물품매매에 관한 UN협약’이 매도인의 운송중지권에 관하여 규정하는 제71조 제2항에서는 구체적인 적용요건과 효과에 대해서는 침묵하고 있는 바 본고에서는 동 권리가 영미법에서 유래된 제도인 점에 비추어 오늘날 미국에서 널리 채택되어 적용되고 있는 통일상법전(Uniform Commercial Code, 이하 UCC라 함)의 운송중지권 규정을 살펴보고 CISG의 그것과 비교를 시도하고 있다. 그리고 매도인이 운송중지권을 효과적으로 사용하기 위한 수단으로서의 운송물처분권을 생각해 볼 수 있는 바, 본고는 물품매매법에서 매도인의 운송중지권 행사와 밀접한 관련을 가지는 운송규범상 송하인의 운송물처분권을 상법 및 국제협약의 규정을 중심으로 살펴본 후 운송중지권과의 관계분석을 시도하였다.
Abstract
The Stoppage in Transit under CISG & UCCChang-Jae LeeIn an international sale of goods, the seller has an obligation to deliver goods whilethe buyer has to pay for the goods. This kind of deals involve a number of risks suchas buyer’s insolvency or a serious deficiency in his ability to perform payment. If theseller has already dispatched the goods before the situation become evident, he mayprevent the handing over of the goods under the seller’s right to stop in transit. Thisarticle is for a comparative study of stoppage in transit under CISG and UCC. Article71(2) of CISG was apparently drafted on the basis of the common law concept ofstoppage in transit, but with some distinction. For instance, UCC limits seller’s right ofstoppage only for the case that the buyer to be insolvent. Where the buyer repudiatesor fails to make a payment due before delivery or if for any other reason the seller hasa right to withhold or reclaim the goods, the buyer may stop delivery of carload,truckload, planeload or larger shipments of express or freight. Also unlike CISG, UCCinvolves the third parties, i.e. carrier, subpurchaser in the contract of sales between sellerand buyer. However, CISG does not impose obligations upon the carrier. The carrier isobviously not bound by the CISG, because the convention indicates that the seller’sright of stoppage in transit relates only to the rights in the goods as between the buyerand the seller. However, by laws governing the carriage of goods and the consignor’sright of control the shipment, the seller has a right to stop his goods in transit.
