본 연구는 해상송부매매에서 매도인이 교부해야 하는 인도증명서류로서 해상화물운송장의 적합성에 대하여 고찰하였다. 해상화물운송장의 서류적합성에 관하여는 CISG의 일반규정, 계약과 국제관습규범이 적용된다. 따라서 해상화물운송장의 적합성은 매매계약에서 당사자가 합의한 내용이 있으면 이것이 최우선적으로 적용되고 Incoterms의 거래조건(trade term)에서 규정하고 있는 각 요건, 신용장 결제방식인 경우 UCP에서 규정하고 있는 수리요건이 규율하게 된다. 결론적으로 해상화물운송장은 전통적인 선하증권과 함께 Incoterms, UCP600 등에서 매매계약에 적합한 운송서류로서의 지위를 확보하고 있으며, 해상화물운송장이 어떤 내용과 형태로 교부되어야 하는가에 대하여 UCP는 구체적인 내용을 규정하고 있다. 반면에 비신용장방식인 경우 계약과 Incoterms의 일반적인 내용에 의존하게 되므로 당사자 간 계약서에 보다 분명한 요건을 명시하는 것이 바람직하다.
Abstract
The seller has to deliver goods and documents in shipment sales under CISG. This paper deals with confirmity of sea waybill in respect of seller's obligation to hand over documents as a proof of delivery under CISG and Incoterms. Sea waybill replacing bill of lading is not a document of title but a non-negotiable document and the consignee does not need to present and interchange to carrier for delivery of goods as long as he can identify himself as the party named as consignee in the seaway bill. Where goods are not traded in during the course of transit, it is desirable to use of the non-negotiable sea waybill instead of the bill of lading. Sea waybill has fitness of a proof of delivery under Incoterms, UCP600. While UCP600 has provisions as article relating to requirement but there's no rule in Non L/C transaction. Therefore contract should have agreement relating to requirement of sea waybill in Non-L/C transaction.
