Abstract

The long duration and complexity of international investment contract, or production sharing contracts make these arrangements particularly vulnerable to political, and economic changes that may adversely, in a rare case positively, affect future financial interest of the investors. These factors may make the positions of the inviting parties and investors conflict each other, and encourage them to include a renegotiation and adaptation clause in their contract in order to solve the conflict. However, such a clause may have an inherent limitation in that the clause does not as such impose upon the parties any 'obligation to agree' as opposed to an 'obligation to negotiate'. Thus, if one party is stubborn in renegotiation, the clause is less likely to produce a final agreement to allocate the risk or benefit caused by such changes. Therefore, if the parties wish to include a renegotiation and adaptation clause, they should pay extraordinary attention to how to encourage the parties to willingly engage in the renegotiation process, and then how to reach actual agreement on the risk allocation following such renegotiation. One important way to encourage the parties to renegotiate voluntarily is to set a period for negotiation, and then to declare the possibility to refer the case to the courts or arbitrators if the renegotiation process fails. One remaining question is what happens if the parties fail to reach an agreement when the clause didn't provide the procedural mechanism for the courts or arbitrators to intervene. Can the courts intervene in the renegotiation process? Generally speaking, the courts cannot substitute itself for the parties in order to modify a contract unless that right is conferred upon it by law, or by the express consent of the parties. But, the Korean Supreme Court decided that "in the light of the whole contract" the court may intervene in the dispute and determine the commission rate in issue according to the changed circumstances. It is argued here that the active role of the courts to fill the gap in the renegotiation clause is justifiable in that it can allow the parties to shorten the renegotiation period and decrease transaction costs generally.
