초록

이 논문은 혁신능력의 향상이라는 동태적 효율의 관점에서 기업지배구조 문제를 접근한다. 이에 따라 기업지배구조와 혁신능력에 관해 상반된 입장을 취하고 있는 대리인이론과 조직통제이론의 국내 적용 가능성을 2000-2002년간 상장 제조업 361사를 대상으로 한 계량모형분석을 통해 비교 검토하였다. 실증결과 경영자 소유지분율과 R&D 집중도 사이의 단순 선형관계를 가정하는 가설은 지지되지 않았다. 반면 소유지분율이 늘어남에 따라 R&D 집중도가 증가하는 이해수렴 영역이 존재하고 소유지분율이 더 늘어나면 R&D 집중도가 하락하는 안주주의 영역이 존재함이 입증되었다. 또 이사회 구조가 R&D투자에 미치는 영향에 관해서는 사외이사비중이 높을수록, 과학자이사비중이 높을수록 R&D 집중도가 높은 것으로 나타났다. 이로부터 사외이사가 혁신투자를 촉진시킨다는 대리인이론이 타당한 반면 안정주주와 내부통제를 중시하는 조직통제이론은 높은 소유집중, 계열사간 출자를 특징으로 하는 우리나라의 소유경영자체제에서는 타당하지 않은 것으로 나타났다.

Abstract

This study examined the extent to which the concentration of equity ownership, the percentage of outside directors, scientist directors on a corporations board of directors influence the company's R&D investment. Utilizing a sample of 361 Korean manufacturing firms over period 2000-2002, I found thar as managerial insider stock holdings increase at low levels of ownership, R&D investment also increase, which supports the convergence-of-interest hypothesis. However, as managerial insider ownership further increases, managers get entrenched, which supports the entrenchment hypothesis I also found that the percentage of scientist directors positively affected R&D spending in listed manufacturing firms And the percentage of outside directors on a corporations board of directors positively affected R&D spending too This finding supports the hypothesis of agency theory that outside directors can reduce managerial agency costs and increase R&D investment.
