Abstract
The Article 565 (1) of the Civil Code of Korea(CCK) stipulates that "If one of the parties to a contract of sale has delivered, at the time of entering into the contract, money or other things under the name of down payment, assurance deposit, etc. to the other party, unless otherwise agreed upon between the parties, the deliverer by giving up such money, and the receiver by repaying double such money, may rescind such contract before one of the parties has initiated performance of the contract". In this regard, for a long time in Korea, the majority opinion of academia and the Supreme Court have concluded that the issuance of down payment is a kind of contract. They have also thought that the issuance of the down payment is a "independent" and "subordinate" "down payment contract", which is separate from the main contract such as sale contract. It is controversial whether something have to be given or taken for the formation of this down payment contract, and they think we have to give and receive something for this. According to these thoughts, if the down payment is not paid at all or if a part of the down payment is paid, neither party cannot release the sale contract through giving up or double return of down payment. Because the down payment contract is not formed at those situations and the Article 565 (1) CCK does not apply. Moreover, when the down payment is issued, if the purpose of a subordinate down payment contract is achieved by the full performance of the main sales contract, the effectiveness of the down payment contract should be lost. In such cases, according to the above thoughts, we come to the following strange conclusion. Due to the loss of effectiveness of the down payment contract, the seller who has received the down payment at the time of the sale contract conclusion must be return it to the buyer and the buyer have to re-pay the same amount of down payment to the seller as unpaid price. At this time, they think that the down payment should be covered a part of whole sale price to omitt these repetitive processes. However, this interpretation is very unrealistic and impractical. Therefore I think that the issuance of down payment is not a contract but a part of the whole purchase price. Because the down payment is the first issuance of whole price, I also think that it has the special significance as the evidence of contract formation, the contract releasing fee or penalty and compensation for damages. Furthermore the issuance of the down payment does not need to be regarded as an independent and subordinate down payment contract. In an actual transaction, neither party would consider the issuance of a down payment to be a contract formation. Even in accordance with Article 565 (1) CCK, it is sufficient if the "down payment" is "issued" and there is no basis for a separate "down payment contract". And the premise for this provision to apply is that the down payment must be paid "all". These interpretation is consistent with the actual transaction, the party's intention and above provision. Therefore, the rulings of the Supreme Court in 2008 and 2015 are neither logical nor in accordance with this provision. Meanwhile, we cannot find similar examples in foreign civil law history and legal regulations which regard the issuance of down payment as the conclusion of a contract. Especially, in western civil law, the issuance of down payment mainly functioned as a security deposit or a money for evidence of contracts, and it was only a contract releasing fee on the premise of the party's special agreement. However, in the Japanese Civil Code, it has been unprecedentedly legislated as a releasing fee of contract without a special agreement, and the KCC has introduced similar provision. There had been criticism that if the down payment is considered part of the whole sale price, there is no room for the application of the Article 565 (1) CCK which is an estimate provision of the contract releasing fee, because the performance of the contract begins with the issuance of down payment. Therefore the down payment was bound to be on the agenda as a "down payment contract" rather than part of the sale price, and this interpretation has also affected the interpretation of Korean civil law and continues to the present day.
