Abstract
In an institutional situation in which companies allocate ESOP(Employee Stock Ownership Plan)shares to employees over ordinary shares assigned to external investors at the time of IPO, there exists a need to induce employees to actively participate in the IPO subscription and a possibility that IPOs are more underpriced. In addition, the more employees actively participate in ESOP shares, the more likely investors are to subscribe for IPO shares and to purchase more shares after listing by interpreting employees' participation as a signal that the offer price is cheaper or that the future prospects for companies are positive. Under these assumptions, we examine the effects of ESOP on underpricing and aftermarket Performance of IPOs using Korean data consisting of 543 companies newly listed on KOSPI market and KOSDAQ market for 10 years from January 2008 to December 2017. Our main findings are as follows. First, 87.8% of the companies issued ESOP shares at the time of IPO, while only 40.1% of the samples had ESOP before IPO. Second, we find that one percent increase of ESOP share ownership at the time of IPO is associated with 3.82% increase of underpricing. These results only appear at the time of IPO and were not observed in case of ESOP shares issued before IPO. Third, the impact on performance after listing is also due to ESOP shares issued at the time of IPO. The results show that one percent increase of ESOP share ownership at the time of IPO is related to 2.8% to 3.6% increase of excess returns over 1, 3, 6 months after listing. The effects are magnified to 3.6~4.8% if the sample is limited to KOSDAQ companies. Fourth, 5.5% of KOSDAQ companies and 44.8% of KOSPI companies that issue ESOP shares at the time of IPO, experienced ESOP undersubscription. While the undersubscription event does not significantly affect the underpricing, it reduces excess returns over 1, 3 months after listing. This study has academic contribution in that it explains ESOP is related to underpricing and aftermarket performance of IPO by complementing previous studies related to ESOP and IPO. It also has practical implication by providing useful criteria for investing IPO shares.
