Abstract
Recently, global institutional investors holding have been actively exercising shareholder proposals related to ESG issues. At the same time, The paradigm of the Proxy voting guidelines is also changing from shareholder primacy to stakeholder focused governance. The author made three suggestions to domestic institutional investors to reflect ESG issues in 'Proxy Voting Guidelines' as the market environment changes and ESG's internal and external interest grows. The first , The company agree with the diversity of the composition of the board of directors (women, etc.) when it comes to the proposal. Second, The company reflect the candidate's assessment of the risk management ability of ESG when selecting a director. Third, A Company link the Board of Directors’s remuneration to his ESG performance. This result suggested only 'Board Composition' and 'Performance Evaluation and Incentives' among the Eight categories of CCGG(Canadian Coalition for Good Governance). This reviewed the 'Proxy Voting Guidelines' of existing researches and overseas organizations, and selected practical parts (Korean sentiment, legal issues, etc.).
