Abstract

As the size of National Pension Fund of Korea increases, the share of investment in domestic equity market increases drastically. The fiduciary duty of exercising proxy voting has become a subject of debate in establishing direction and strength of rules of proxy voting. Many argue that National Pension Fund should play an active role in proxy voting but no one proposes what to do to act as an active fiduciary. This paper propose guidelines that National Pension Fund should apply in communicating with firms on National Pension Fund’s position on exercising proxy voting.
