성과배분측면에서 검토한 대학 기술지주회사 제도개선방법 연구

글로벌 경쟁 속에서 산학연협력은 기업과 국가의 새로운 경쟁력 강화 수단으로 논의되고 있다. 산학연협력의 성과로써 대학에서 지속적인 창업이 이루어지고있는 상황에, 그 성과에 대한 배분의 검토가 필요할 것이다. 본 논문에서는 대학 기술의 사업화 방법의 하나로 활용되는 산업교육진흥 및산학연협력 촉진에 관한 법률상 기술지주회사 제도에 있어서 사업화를 통하여 발생한 이익이 발명자인 대학의 교직원에게 원활히 귀속될 수 있는지 확인해 보았다. 기술지주회사의 자회사 형태로 대학 기술을 사업화 하였을 경우 사업화의 성과로 발생하는 이익이 어떤 과정으로 발명자에게 보상이 되는지 판단하여보고, 다른 유사한 제도와 비교하였다. 산업교육진흥 및 산학연협력 촉진에 관한 법률 및 상법상 제도에 따라서 발명자에 대한 보상을 지급할 때 발명자로부터 기술을 승계 받는 산학협력단과 기술을사업화하는 기술지주회사가 이원화 되어 있기 때문에 기술지주회사의 자회사를통하여 사업화에 성공할 경우에도 발명자에 대한 보상이 원활하게 이루어지지 않을 수 있음을 확인하였다. 기술지주회사를 통한 사업화의 성과를 발명자에게 원활히 전달하기 위해서는 제도의 개선이 필요하며, 최근 공동기술지주회사의 설립형태를 감안하여 보면 기술지주회사에서 발명자에게 보상을 직접적으로 할 수 있도록 제도를 개선하는 것이 타당한 것으로 판단된다.
Abstract
Industry-academia cooperation is consistently emerging as a newcounterplan to increase competitiveness of business organizations andgovernments in global competition. Hence, many universities start uptechnology-enabled ventures as the performance of Industry-academiccooperation. Therefore, it is necessary to study how to justly distributeprofit from the technology-enabled ventures. Technology Holding Company System, prescribed inENFORCEMENT DECREE OF THE PROMOTION OFINDUSTRIAL EDUCATION AND INDUSTRY-ACADEMICCOOPERATION ACT, is one way for commercializing technology ofuniversity. This paper studied whether to fairly share the profitgenerated from success of technology commercialization with inventorswho are employed in universities in the Technology Holding CompanySystem. This paper studied though which procedure profits of affiliatedcompanies are shared with inventors in case of founding the affiliatedcompanies of the technology-holding company for commercializing thetechnology, profits generated from the affiliated companies andcompared the technology-holding company system with other similarsystems. The inventors are compensated for success of technologycommercialization under ENFORCEMENT DECREE OF THEPROMOTION OF INDUSTRIAL EDUCATION AND INDUSTRYACADEMICCOOPERATION ACT and COMMERCIAL ACT in caseof selecting the technology-holding company system forcommercializing the technology. It was found that the inventors werenot appropriately compensated for success of technologycommercialization in the technology-holding company system, fortechnology commercialization is managed by the technology-holdingcompanies though the inventors assign their technologies to Industryacademiccooperation foundations. Therefore it is necessary to improve the technology holdingcompany system prescribed in ENFORCEMENT DECREE OF THEPROMOTION OF INDUSTRIAL EDUCATION AND INDUSTRYACADEMICCOOPERATION ACT to ensure the inventors appositecompensation for commercialization profits generated though thetechnology-holding company system,Namely, it is significantly advised that the technology holdingcompany system is improved in such a way to allow technology-holdingcompanies to provide inventors with rewards directly, consideringparticularly joint technology-holding companies incorporated recently.
