대주주所有와 企業價値 關係에 대한 實證分析(1990년 - 2000년)

초록

한국기업의 시장가치가 저평가되었다. 이것은 소유와 경영이 분리되지 않았기 때 문이고, 이 요인을 究明하고자 하였다. 아울러 유사한 선행연구들에 적용되고있 는 여러 가설이 우리 경우에도 적용될 수 있는지 살펴보았다. 이를 위하여 1990 년부터 2000년 말까지 11년 동안의 346개별기업 자료를 사용하였고, 기업가치와 소유구조 관계에 대하여 OLS 회귀분석을 하였다. 그 결과, 우리나라의 기업 소유구조는 예상과 달리 1992년의 자본시장 개방과 함 께 대주주들의 내부지분율 강화로 인한 소유의 집중추이가 확인되었다. 이 현상 은 기업의 역사가 진행되고 기업이 발전되어 규모가 커질수록 소유분산이 이루어 진다는 Berle and Means의 주장 이후 자본주의 경제에 대하여 받아들여져 온 일 반적인 현상과 역행하고 있다는 중요한 사실을 확인하였다. 아울러 대주주 소유 지분 수준과 기업가치 관계를 회귀분석하여 기존의 역 U자형이나 U자형, 기타 가 설을 검증한 결과, 본 연구에서는 <재벌계열사>는 통계적 유의성이 없어 우리나라 의 선행 연구들이 재벌구조를 감안하지 않은 분석임을 확인하였다. 또한 이해관 계자의 기업경영 참여는 기업가치에 긍정적인 영향을 주는 것으로 추정되었다.

Abstract

The “Korea discount” comes from the ownership concentration of Korean enterprises. The study aims to investigate this aspect and to point out mistakes of many prior researches. For this purpose, the study used the individual enterprise data of 346 companies for 11 years from 1990 to 2000. It tried to approach the actual data closely and estimated the relationship between corporate value and ownership structure. In addition to a correlation analysis, the study analyzed them through an ordinary-least-squares regression analysis. The results of the analysis are summarized as follows. The ownership concentration of Korean enterprises started to reverse with the opening of capital markets in 1992. The possession rate of internal equities of enterprise owners has shown to go up sharply. It is contrary to the generally accepted fact that ownership is dispersed with the history of the enterprise and the development of the corporation. This fact is generally observed in a capitalistic state after the study of “Berle and Means” in 1932. As the result of U type or reverse U type verification through the process shows in the study, <Affiliates of Chaebol> didn't have any statistical significance. The case didn't confirm the compromise hypothesis, the convergence of interest hypothesis or the managerial entrenchment hypothesis. These conclusions are very different from other prior researches.
