본 논문에서는 기업집단의 소유구조 형성에 관한 이론모형을 구축하여 어떠한 소유구조가 균형에서 도출되는지를 살펴보고, 이를 통해 피라미드식 소유구조를 포함한 다양한 소유구조의 형성원리와 유인체계를 분석한다. 본 논문의 주요 결과는 다음과 같다. 첫째, 계열사 출자는 창업주의 그룹지배권 확보와 밀접히 관련되어 있다. 둘째, 창업주는 계열사 출자에 앞서 계열사의 성과를 최대한 증대시킬 유인이 있다. 셋째, 균형 소유구조 유형은 수평구조, 수직구조, 상호출자 있는 수직구조, 상호출자 없는 혼합구조 및 상호출자 있는 혼합구조 등이며, 이들 소유구조는 일정한 조건 하에서 모두 실현가능하고 사회적으로도 바람직하다. 단, 창업주가 계열사 출자 없이도 계열사를 지배할 수 있는 경우 상호출자 있는 소유구조 유형은 더 이상 균형에 속하지 않는다.
Abstract
This paper presents an equilibrium model of ownership structure in business groups and examines principles of business group formation. We find that equilibrium ownership structures include Horizontal Structure, Vertical Structures with and without Cross-shareholding, and Hybrid Structures with and without Cross-shareholding. We also find that, under certain conditions, all of these ownership structures are feasible and socially desirable. However, we find that the Vertical and Hybrid Structures with Cross-shareholding are not involved in equilibrium any more if we allow the business group founder to control the affiliated firms by using dual class shares. This suggests that cross-shareholding is closely related with the founder’s control over the firms.
