국제 증권시장에서의 증권감독기관 간 정보교환제도에 관한 연구- 우리나라와 미국의 제도를 중심으로 -

최근 전자통신기술과 인터넷의 발달로 자본시장은 고도로 국제화되었다. 국제화된 자본시장에서 증권감독기관이나 관련 정부기관은 더 이상 국내 권한만으로 증권사기를 효과적으로 단속하기 어렵게 되었다. 전 세계 증권시장을 관할하는 하나의 증권감독기구가 존재하지 않은 현재로써는 각국의 긴밀한 협조만이 국제 증권사기에 대처하는 적절한 방법이다. 미국 연방증권거래위원회도 증권감독기관 간의 협력이 필수적이라는 점을 인식하여 적극적으로 국제공조를 실천하고 있다. 미국 연방증권거래위원회는 외국 증권감독기관의 증권사기 수사에 협조할 수 있는 권한을 비교적 이른 시기부터 보유하게 되었고, 이러한 권한에 따라 현재까지 강제조사절차 등 위원회의 다양한 권한을 활용하여 외국 증권감독기관에 협조를 제공하고 있다. 우리나라 자본시장법도 이러한 증권범죄에 대한 국제공조에 부응하기 위하여 외국 금융투자감독기관과의 정보교환 등에 관한 내용을 규정하고 있다. 본 논문에서는 미국 연방증권거래위원회가 그동안 추진해온 국제공조제도를 분석한 다음, 이를 바탕으로 우리나라의 금융감독기관이 외국 증권감독기관과 협력하기 위해 사용하는 법적 근거와 정보교환협약에 대해 검토하고, 이에 대한 발전 방향을 제시하였다.
Abstract
The financial markets have recently become international because of technological advances. In such global financial markets, securities regulators and other governmental agencies need to secure assistance from other countries to combat cross-border securities fraud. Thus, international cooperation is necessary in international securities enforcement. The U.S. Securities and Exchange Commission (SEC) recognized that international cooperation is important to securities enforcement in global financial markets. It then obtained the legal authority to provide assistance with foreign regulators in securities investigations, and based on that authority, it has provided broad assistance to other foreign securities regulators. In practice, the SEC usually use international networks for information sharing, such as memoranda of understanding. In South Korea, the Financial Investment Services and Capital Markets Act allows the Korean Financial Services Commission to exchange information with the supervisory agency of financial investment business in a foreign country. This article discusses international cooperation system, and then it examines legal authority to provide assistance with foreign regulators in South Korea and memoranda of understanding for information sharing. Finally, this article provides recommendations for more effective cooperation.
