Abstract

The goal of corporate disclosures is to mitigate possible problems caused by information asymmetry between managers and investors by delivering information owned by a company to the market. However, it is possible that voluntary disclosures are used to hide or decorate bad news in the firms, rather than as a means to achieve the goal of corporate disclosures, since they are implemented by not legal or regulations but managers' own decisions. Until 2000, corporate disclosure in Korea was mainly in the form of public disclosure under laws or regulations. Then, after March 2000, as problems of information asymmetry emerged in the capital market, Korea government allowed a company to voluntarily disclose important information. In April 2006, the government enacted an amended law which reduced mandatory disclosure items and instead, expanded voluntary disclosure items in timely disclosure. Likewise, as the importance of voluntary disclosure increases, Korea researchers have actively studied numerous issues related to voluntary disclosure. However, results of these studies are mixed. Based primarily upon the above allegation and current mixed evidence, this study investigates the association between the level of voluntary disclosure and stock price crash risk, in order to examine the role of voluntary disclosures. The results show that there is a significant positive relation between the level of voluntary disclosure and stock price crash risk suggesting that the voluntary disclosure can be used as an opportunistic tool of managers unlike the origin purpose of corporate disclosure system. In addition, this study examines whether the relation between the level of voluntary disclosure and stock price crash risk varies depending on the accounting choice of individual firms. This test is to investigate whether managers' tendency to select accounting methods for delivering financial information is associated with decision making of voluntary disclosure. For this purpose, this study focuses on the type of accounting choices in the process of matching principle; accelerated vs delayed recognition of expenses. The results show that the positive relation between the level of voluntary disclosure and stock price crash risk is significantly reduced in firms with accelerated recognition of expenses, while significantly increased in firms that delay recognizing expenses. The results imply that accounting information can be a useful tool to identify managers' intention reflected in voluntary disclosures. Prior studies argue that managers' behavior to hoard bad news in their company is a main trigger of stock price crash. This suggests that it may be meaningful to examine the association between the level of voluntary disclosures and stock price crash risk because voluntary disclosures are done by managers' own discretions that include either their opportunism (intention to hide or decorate bad news) or their due diligence (intention to mitigate information asymmetry). Nevertheless, up to date, little study shows the association between these two. Therefore, revisiting the effect of voluntary disclosures through stock price crash risk contributes to the literature, especially under the circumstances that previous studies report mixed evidences on the effect of voluntary disclosures.
