Abstract

A Common European Sales Law(CESL) is composed of 8 Parts, 18 Chapters and 186 Articles and the discussion of its legislation is in progress since its proclamation in 2011 by European Commission. This law takes unique configuration methods, such as the following :First, it makes it’s user view the whole by presenting general provisions first, which contain an overview of obligations of the parties and the remedies in the case of non-performance, and makes the user feel convenient by placing the detail articles after the general provisions. Secondly, by using the legislation method, that the buyer’s remedies follow non-performance of the seller’s obligations and the seller’s remedies follow non-performance of the buyer’s obligations, it makes non-performance of obligations and the remedies correspond close to each other. Third, it separates the sales contract of the goods and the digital content and the contact of the related service contract, and it regulates in the case of non-performance of each contracts their remedies separately. Finally the CESL regulates by dividing in B2B and B2C contracts in the case of the buyer’s remedies. In this respect, there are fundamental differences between CESL and other laws such as CISG, PECL and PICC. According to the CESL, as main obligations must the buyer ① pay the price and ② take delivery of the goods or the digital content. And ③ he must take over documents representing or relating to the goods or documents relating to digital content as may be required by the contract. The buyer needs not to pay the price of the digital content, but he must take its delivery, where it is not supplied in exchange for the payment of a price. (1) In the case of a non-performance of obligations by the buyer, the seller may, ① require performance of the buyer’s obligations, or ② withhold his own performance. In addition, the seller can ③ terminate the contract and ④ claim interest on the price or damages. (2) If the buyer’s non-performance is excused, the seller can not require performance of the buyer’s obligations or claim damages, but he can withhold his own performance and moreover terminate the contract and claim interest on the price. (3) If the seller caused the buyer’s non-performance, he may not resort to any of the remedies referred to in (1). More information about the buyer’s obligations and the seller’s remedies in the case of their non-performance by the buyer can you get from the body of this paper. I introduced the contents of the CESL here for the purpose of its help to the revision work of Korean Civil Code.
