Abstract

After the onset of the Korean financial crisis in 1997, corporate restructuring was a key element of her recovery process together with financial restructuring. Even though many new institutions for corporate restructuring such as CRC, CRV, CRF were introduced in Korea, they are relatively less known to general public. The purpose of this paper is to empirically analyze the business activities of corporate restructuring companies (CRCs) and their contribution for the economic recovery process in Korea. Our empirical study is based on the data from the annual reports which CRCs compiled during the period of 2000 and 2001 in their regulatory authority, the Ministry of Commerce, Industry and Energy. The major findings of the paper can be summarized as follows. First, most CRCs are small and medium sized with paid-in capital less than 5 billion won. To finance investment, they heavily depend on the paid-in capital and external borrowing. Second, due to their lower credit ratings, CRCs do not generally depend on bond financing. Third, despite of their intrinsic objective, most investment of CRCs are concentrated on portfolio investment on junk bonds or bad loans rather than equity investment for acquiring control rights of targeted companies. Fourth, the rate of return of most CRCs are not materialized yet in Korea. To further develop CRCs, the paper proposed several policy recommendations. First, the size of CRCs need to be expanded to be able to handle restructuring for former Chaebol affiliated insolvent companies. Second, the legal restriction that restricts the business scope of CRCs to defaulted companies only should be repealed. To perform ex ante restructuring function, CRCs should be able to have business with financially distressed, but not yet defaulted companies. Also, this paper points out some regulations which prevent the growth potential of corporate restructuring market in Korea.
