Abstract
Under Article 355(2) of the Criminal Code, the criminal offense of breach of trust is a distinctive type of crime because it explicitly includes “breach of duty” as a constitutive element and highlights the offense’s gain-seeking nature. However, contrary to the original drafters’ intent, this offense has long been criticized for low predictability and legal uncertainty. This is mainly due to the statute’s vague and ambiguous wording. In fact, seventy years of practical application involving this offense have shown that even the courts have been unable to provide clear and consistent interpretation of this offense. As a result, the criminal offense of breach of trust has come to be viewed negatively as a “catch-all crime” and a “final disposal site for property misconduct.”First, due to interpretive and application issues that have emerged since the Criminal Code’s enactment in 1953, there is now a pressing need for legislative measures that clarify the elements involved to prevent misuse of the criminal breach-of-trust provision. The relevant elements – namely, the person who administers aother’s affairs, breach of trust, the occurrence of actual damage, and business judgment rule - should be clearly stipulated. Second, and more fundamentally, in order to resolve systemic confusion and to prevent arbitrary enforcement, the abolition of the criminal offense of breach of trust should also be seriously considered. Even if abolished, no significant gaps would occur given the existence of embazzlement under the Criminal Code, “special breach-of-trust offense” under the Commercial Code, and various similar provisions spread across different statutes. That said, from the perspective of idefining specific offense elements, abolition could create minor gaps in a few situations. In such cases, a separate review should determine whether criminal punishment is justified, and relevant elements should be added within the criminal-law framework to avoid gaps. At the same time, the penalties in existing anaogous provisions should be aligned—consistent with their legislative goals and functions—in accordance with the principle of proportionality.
