Abstract
Blockchain technology has brought revolutionary changes to industries across the board, particularly in the financial market. Above all, the virtual asset market has grown to a scale rivaling that of traditional financial markets, and these changes in the financial industry have led to the rapid growth of the STO market, which tokenizes assets. This market is expected to continue expanding in the future. Countries around the world are already implementing or rushing to implement legislation to lead the way in blockchain-based virtual asset businesses. Unfortunately, South Korea has focused on the negative aspects of the virtual asset market and banned all forms of ICOs, a policy that remains in place today. However, despite its negative aspects, the virtual asset industry has continued to grow, and we have come to realize that we can no longer afford to stand idly by as this global trend progresses. In South Korea as well, assets that were previously difficult to trade in traditional securities markets, such as real estate, artworks, music copyrights, luxury goods, and Korean beef, have begun to be tokenized and issued in the form of fractional investments. Financial authorities are responding to this industry demand by granting exceptional permits through regulatory sandboxes. In 2023, the Financial Services Commission is preparing a plan to regulate token securities and is attempting to legislate STOs in earnest. The STO legislation trends overseas, especially in Japan, which has a legal system similar to ours, provide useful insights for the legalization of STOs in Korea. At this stage, it is meaningful to draw insights for domestic STO legislation by referencing issues that arose during the implementation process, legislative shortcomings, and industry needs in Japan, which has already legalized STOs. Following the legalization of STOs, Japan encountered issues such as conflicts with existing laws regarding the transfer of rights and the assignment of rights, and the need for revisions in tax and accounting systems has been discussed. Additionally, systemic issues have emerged, including insufficient interoperability between systems due to the lack of openness in the issuing blockchain platforms and the underdeveloped distribution market. We should examine these issues in Japan's STO legislation and implementation process and consider them when legislating token securities. Specifically, when legislating STOs in Korea, it is necessary to establish clear criteria for the securities nature of token securities, which distinguishes them from virtual assets, review the revision of existing conflicting laws based on the special characteristics of token securities, the need to establish appropriate accounting and tax treatment for token securities, the need to allow for diverse blockchain platforms and trading systems rather than closed ones to ensure sufficient liquidity and interoperability between platforms, and the need to establish legal grounds for private self-regulatory bodies in the issuance and distribution of STOs. Japan's STO legislation and implementation provide legislative implications for us.
