Abstract
Previous studies on corporate social performance have focused on how corporate social responsibility activities of managers affect firm value. However, considering that controlling shareholders and managers are involved in the formation of corporate structure, it has been neglected that corporate social performance may affect board independence. The purpose of this study is to show that good corporate social performance can contribute to the increase of board independence by analyzing the relationship between corporate social performance and board independence. From analyses, this study found the significant and positive relationship between corporate social performance and board independence. Moreover, it appears the significant and positive relationship between corporate social performance and the excess appointment of outside directors. The results indicate that because the interests of managers in firms with good social performance and stakeholders coincide in long-term perspective, these firms would actively accept strict monitoring activities by board, resulting in increased board independence. Unlike previous studies focusing on the relationship between social responsibility performance and corporate value, this study contributed to previous research by providing new evidence that social responsibility performance increases board independence. It is also expected to help stakeholders effectively make a decision by having them understand the relationship between corporate social performance and board independence.
