Abstract

In order to enhance economic freedom and corporate autonomy and initiative, German employers have been steadily carrying out activities to deregulate and to make flexible the board level employee representation (BLER) system both at the national and at the company level. Over the past 20 years, the number of companies adopting the BLER system in Germany has been steadily declining. As a result, as of 2018, only about two-thirds of the companies subject to the BLER system operate in Germany. This decrease in the introduction of the BLER system is particularly conspicuous in the legal form of incorporated company. Many German companies evade the operation of the BLER system in various ways despite of the legal obligation, and the methods can be largely classified into two types. One is to legally find loopholes within the framework of relevant laws and avoid detours. As such methods, the use of corporate forms excluded from the application of BLER system, corporate mergers, formation of Konzern, and corporate size adjustments are being utilized. The other is illegally not complying with relevant laws and not operating the BLER system. In other European countries, the weakening of the BLER system is evident. The expansion of privatization, the revision of the law to make the introduction of the director system optional rather than the mandatory, and the flexiblization of standards for the introduction of the BLER system resulted in a serious weakening of the BLER system. The trend of the BLER system in Germany and Europe can give meaningful implications for the future development of the BLER system in Korea, which was implemented in August 2022.
