Abstract
Due to the active corporate activities of multinational companies, the boundaries between countries have been collapsing. An example of a relatively active merger between a domestic company and a foreign company can be seen in the EU. While taxation is deferred when domestic companies are merged, charging corporate tax immediately when a domestic and a foreign company are merged is contrary to the principle of tax neutrality. With these points in mind, the EU established the Merger Directive (the “MD”) to ensure a balanced authority of taxation while preserving tax neutrality. In particular, the loss carryforward has a direct effect on reducing corporate tax. Article 6, 10, and 15 of the MD stipulate the contents related to the loss carryforward. Article 6 stipulates that it is possible to accept loss carryforward from the transferring company. In consideration of the purpose of the MD, the CJEU decided in the case of Commission v. UK (Marks & Spencer) that in the case of a final loss, the receiving company can accept the loss carried forward even in the case of a cross-border corporate reorganization. In addition, the CJEU ruled that it would not be appropriate to impose tax immediately, regarding the recapture rule in Article 10 of the MD, and an option should be given to the taxpayer to choose between tax deferral and immediate taxation. In this way, the EU is reforming its system to reduce corporate tax. Furthermore, the EU re-proposed the draft of the CCTB/CCCTB Directives to reduce compliance costs considering the trends of digitalization, the development of e-commerce and the globalization of companies. With the formulary apportionment method, there are criticisms that it is difficult to reach an agreement on what factors should be included in the formula and how to calculate the weight of each element. Even if an agreement is reached, it is criticized that it would be difficult to implement the formulary apportionment method. However, the CCTB/CCCTB Directives do not significantly limit the deduction of losses when companies are in the same group, and they allow cross-border deductions. In addition, when the tax amount is determined according to the formulary apportionment, it can increase predictability for taxpayers and reduce compliance costs for companies. The draft of the CCTB/CCCTB Directives are the source of many useful suggestions to South Korea in terms of reforming its tax system to reduce corporate tax. The CCTB/CCCTB Directives are worth factoring into the direction of corporate reform that South Korea should implement in the future.
