Abstract
This study investigates the characteristics of stock option granting firms, the stock price reaction to the disclosure of stock option grants, the determinants of stock option adoption, and post-adoption changes in operating performance, dividend policy, and stock price volatility. We examine the 484 disclosures of stock option grants by 174 listed companies in Korean stock market over the period from March 1997 to December 2005. Empirical result shows that, on average, Korean stock market reacts positively to the disclosure of the stock option grants. This result provides direct evidence that investors view the grant of stock option positively on average. The result of logit regression shows that market-to-book ratio (this ratio measures the growth opportunity) and firm size are negatively related to the likelihood of the stock option grants, but the insider ownership is positively related. This evidence indicates that firms with less growth opportunities, small size, or large insider ownership are more likely to adopt stock option plan. We also find some evidences that operating performance improves following the adoption of an option plan, but stock price volatility tends to decrease and dividend does not change after the option plan adoption. Those evidences suggest that the Korean managers do not use stock option to enrich themselves.
