Abstract

This article is a case commentary on the Supreme Court decision rendered on May 1, 2025 (Case No. 2024da293580). The decision concerned a case in which the closure of airport international terminals, following the government's consolidation of all international flights to a single airport in response to COVID-19, rendered duty-free shop operations impossible. The Court held that the landlord's obligation to maintain the leased premises fit for use as duty-free shops became impossible to perform through no fault of either party, and applied the risk allocation doctrine under Article 537 of the Civil Act to order the return of rent already paid as unjust enrichment. This article examines three issues. First, the scope of the landlord's duty to maintain the leased premises must be determined through contractual interpretation that takes into account the purpose and type of the lease, trade customs, and the parties' intent. Second, whether the tenant's inability to use the premises for the agreed purpose under a COVID-19 collective prohibition order constitutes a breach of the landlord's duty must be assessed according to the nature of the order; since most such orders were issued without regard to the physical condition or location of the premises, they do not, as a rule, constitute a breach. Third, temporary impossibility in a continuing contract may be characterized as definitive impossibility for the period affected, without requiring the dissolution of the lease agreement itself. This article concurs with the Court's conclusion that impossibility of performance was established on the basis of the particular characteristics of the lease, the nature of the administrative measures, and the physical closure of the subject premises. However, caution is warranted before extending that holding to COVID-19 collective prohibition orders generally. The risk arising from large-scale unforeseeable external shocks such as the COVID-19 pandemic should be shared equitably between the parties rather than allocated entirely to one side. Where a breach of the landlord's duty is established, the tenant's right to withhold rent provides an effective remedy; where it is not, the right to request a rent reduction under Article 628 of the Civil Act is the appropriate course.
