제도의 구조와 구조변화 - 기업지배구조 제도를 중심으로 -

이 연구는 우리가 서구로부터 도입한 정책이나 제도가 기대했던 기능을 수행하지 못하고 형식화되거나 무력화되는 현상에 관한 연구이다. 이 연구는 크게 두 가지의 가정을 가지고 이 문제에 접근하였다. 첫째, 우리가 도입하는 정책이나 제도는 하나의 거래관계를 가능하게 하는 거대한 제도 집합의 조그만 일각(a small tip of institutional iceberg)에 불과하다는 것이며, 둘째, 제도의 역사성과 사회성을 감안 할 때 우리가 도입한 제도는 우리 사회를 변화시키기보다는 기존의 제도 집합에 동형화(또는 동화)되기 쉬울 것이라는 생각이다. 이를 위하여 제도의 비교․분석이 가능하도록 제도 구조를 비교 기준으로 개념화하고, 미국과 한국의 기업 지배구조 제도를 비교하면서 이식된 제도의 변화 원인과 변화의 방향을 설명하고자 하였다. 경영인의 기회주의적 행동을 통제하기 위하여 형성된 미국과 한국의 지배구조 제도 집합을 비교․분석한 결과에 따르면, 비공식제도가 제도집합의 형성과 이식된 제도 및 제도 구조의 변화 경로에 결정적인 요인으로 작용하고 있다. 불신과 기회주의적 성향이 강한 한국의 문화로 인하여 전통적이고 가장 유효한 통제장치라 할 수 있는 비공식제도의 제도적 기능을 기대하기 어려우며, M&A시장, 경영능력시장, 주식시장, 기관투자가 등 각종 시장에 의한 통제장치도 거의 작동하지 않고 있다. 회계감사, 사외이사, 전문가단체 등의 감시기능도 약화되어 있으며, 결과적으로 계층적인 제도들로 제도 집합을 구성하는 개별 제도들이 동형화하고 있다. 이런 상황에서 우리가 부분적으로 도입한 제도는 대리인 문제와 거래비용 문제에 대한 충분한 해법이 될 수 없으며, 결국 회피의 대상이 되고 형식화되고 있다.

Abstract

This study tries to reveal the reasons of emasculation of institutions implanted to us. This study explored answers to this question with two presuppositions: first, imported institution is a small tip of huge institutional iceberg that enable a transaction happen, and second, concerning that institutions are the products of social history and tradition, imported institution will be assimilated with local institutions. According to the results, focusing on comparative study on institutions over corporate governance, almost every condition supporting implanted institutions is fundamentally different. Most of diverse institutions cultivated to reduce transaction cost between shareholders and managers were not found or never operated properly. Distrust and opportunism fundamentally hinders the role of informal institution. Governance by markets, such as M&A market, management capability market, security market, institutional investor, is also underdeveloped to control moral hazard of hired manager. In terms of shareholders, therefore, our formal and informal institutions are insufficient to protect shareholder's property from opportunistic behavior of hired manager. As long as a tip of imported institutions could never be sufficient to protect shareholder's property, emasculation or assimilation of implanted institutions would also be inevitable.
