공공기관 비상임이사의 효율적 운영방안에 대한 연구: A재단을 중심으로

본 논문에서는 문헌연구와 연구대상으로 선정한 A재단 비상임이사의 운영 현황에 대해 SWOT분석을 통해 비상임이사 운영을 실태를 파악․분석하고, 비상임이사회의 효율적인 운영을 위한 방안을 강구하는 것을 연구목적으로 한다. 연구결과를 바탕으로 하여 비상임이사회의 효율적인 운영을 위한 방안을 제시하면 다음과 같다. 첫째, 비상임이사회 조직변화 방안으로 비상임이사회의 조직의 인원수의 조절과 비상임이사회의 비상임이사 용어의 통일을 고려할 필요가 있다. 둘째, 비상임이사 지위, 권한 및 역할을 더 명확하게 제시하는 것이 필요하다. 셋째, 비상임이사회의 지원방안으로 비상임이사회 지원 인력의 강화, 비상임이사회에 기관 경영 운영 전반에 대한 정보 제공의 강화, 비상임이사회 회의내용의 경영진에게의 전달 강화, 임원워크숍 및 전문위원회의 활성화 등이 필요하다. 마지막으로, 경영과 비상임이사회의 연계방안으로 경영진과 비상임이사회의 면담 기회 조성, 비상임이사회 회의내용의 경영진에게의 전달 강화, 비상임이사들을 대상으로 한 경영 전반의 개선 사항 조사와 같은 방안 등을 제시하였다.
Abstract
It is possible for the inefficiency of management and moral relaxation to happen in public sector due to only public sector. So it is necessary to have internal control system for ensuring the efficiency and responsibility of management compared with private sector. The public organization tries to consider various ways for activating the management of non-executive director. For example, a public organization increased the number of non-executive director's meeting in 2011 compared with 2010, made non-executive director's meeting regular, and had workshop for directors for activating some exchanges between non-executive director and the foundation's members. However, it is necessary to study overall management of non-executive director for understanding exact current situation and diagnosing and changing some problems of it. It helps non-executive director of organization make substantial. And it helps non-executive director of organization perform its roles which are 'balance and check' devotedly. For this, the study collected and analyzed some materials related to national and international organization's non-executive director management and relevant information from literature and internet. Through this, the study provided ways for efficient management of the non-executive director of public organization.
