Abstract

The major purpose of this paper is to reveal the ethical problems associated with hostile merger & acquisition. The hostile merger & acquisition is one of the most severe economic trends since the 1980s. And usually hostile merger & acquisition have been subject to scathing criticism. Because almost all hostile mergers & acquisitions are directed toward earning vast money through the manipulation of existing financial, rather than toward the actual production of new and better goods. But Some of those most prominently associated with the opposing of hostile mergers & acquisitions were engaged in immoral activities. This paper is to reveal the immoral activities of hostile mergers & acquisitions. They are as follows. First, this paper oppose hostile merger & acquisition on the grounds that it damages the interests of many stakeholders of the relevant corporations. That is, this paper argue that hostile mergers & acquisitions are by their nature destructive of the interests of stakeholders. Second, this paper oppose hostile merger & acquisition on the grounds that in case of it's success, the result usually take high interest debt to new owners, and finally to service the debt they have to fire many employees. That is, this paper argue that in case of it's success, relevant corporations closed and many employees were the first to be fired. Third, this paper oppose hostile merger & acquisition on the grounds that it made corporate raiders, their greenmail is a form of extortion, and a growing proportion of it is in the form of leveraged management buyout. That is, this paper argue that by corporate raiders, local economies lost their vitality and finally everyone in the communities suffered severely. Therefore, this paper advocate friendly merger & acquisition. And this paper support that friendly merger & acquisition have to substitute for hostile merger & acquisition.
