초록

블록체인 기반의 스마트 컨트랙트는 종래의 계약환경에 비하여 많은 이점과 기회를 제공할 수 있을 것으로 기대되는 반면 현재의 시점에서 개념적, 기술적 한계를 가지고 있다. 이와 같은 한계들은 스마트 컨트랙트가 가까운 미래에 빠른 속도로 우리의 실생활에 활용될 수 없는 장애요소로 작용할 가능성이 크다. 그간 기술의 발전과 이에 대한 법적 대응과의 관계를 생각해 보면, 기술의 변화와 그 속도에 비하여 법제도의 변화는 상대적으로 점진적으로 이루어진 것을 알 수 있다. 관련 기술이 지속적으로 발전하고 변화하고 있는 스마트 컨트랙트를 일원적 관점에서 법적인 계약으로 취급하면서 많은 전통적인 계약법리들과의 관계를 설정하는 것은 어려울 것이다. 기술이 점차 고도화하면서 표준화된 스마트 컨트랙트의 개념이 기술적 관점에서 어느 정도 정립되면서 법적 불확실성과 관련한 많은 문제가 해결될 것이다. 이러한 점에서 계약법적 관점의 접근법에서는 스마트 컨트랙트에 대한 기술적 특징, 특히 계약상 의무에 대한 실행 또는 집행의 ‘자동화’라고 하는 측면에 중점을 두어 전통적 계약 관계와의 근본적인 차이점을 탐색하면서 계약 관계에서 새롭게 발생하는 문제점을 해결하려는 노력이 바람직하다. 그러나 인터넷 규율의 사례에서 경험했던 바와 같이, 스마트 컨트랙트의 규율 역시 다양한 개념의 재창조를 비롯하여 많은 노력이 필요할 것이다.

Abstract

While blockchain-based smart contracts are expected to provide many advantages and opportunities compared to traditional contracts, they have conceptual and technical limitations. Such limitations are highly likely to be obstacles barring blockchain-based contracts from being quickly implemented in real life in the near future. In comparing the relationship between the development of technology and the legal response to these new developments, this reveals that changes in the legal system are relatively gradual compared to changes in technology. It will be difficult to establish a relationship between many traditional contract laws and smart contracts, which are continuously developing and changing due to related technologies. As technology gradually advances, the concept of a standardized smart contract will be established to some extent from a technical point of view, and many problems related to legal uncertainty will be resolved. In this respect, the approach from the contract law perspective explores the fundamental differences between smart contracts and the traditional contract by focusing on the technical characteristics of smart contracts, especially the “automaticity” of the execution of contractual obligations, while exploring the fundamental differences in contractual relationships. Efforts to solve problems that arise are desirable. However, as experienced in the case of the internet discipline, smart contracts will also require a lot of effort, including the re-creation of various concepts.
