Abstract
Clean Development Mechanism is the only mechanism under Kyoto Protocol that Korea is eligible to participate. The legal studies about CDM have been less developed in Korea compared to technical and economic analysis of CDM. CDM creates a new legal right called CERs(Certified Emission Reductions) and the legal regime governing the system is still evolving. To facilitate CDM projects, it is necessary to maintain the stability of legal rules. Also the contractual approaches to delineate the rights and obligations of the parties and to allocate project risks. There are three risks related to CDM projects: host country risks, general project risks, and Kyoto Protocol risks. Several provisions that can be utilized in Emission Reduction Purchase Agreement (ERPA) include guarantee, force majeure, representations & warranties, indemnities, insurance, and right of termination.
