CISG 유보규정의 법적 성질과 그 개선점에 대한 연구는 CISG 유보의 이중적성격이 그 출발점이 된다. 매매협약의 형태인 CISG는 대부분의 규정들이 사인간의 관계에 대한 내용인 반면에 ‘유보’는 체약국을 대상으로 하는 법률행위라는 점에서 그 이중성의 의미를 찾을 수 있다. CISG에서의 유보규정에 대한 연구의 핵심적인 가치는 유보규정의 이중성으로 인해 유보규정 그 자체, 그리고 체약국의유보행위 적법성에 대한 해석을 위해 비엔나조약법협약을 통해서 CISG에서의 유보행위에 대한 법적・제도적 평가를 하는 것이다. 국제물품거래에 있어 국제통일사법의 효과를 누리고 있는 CISG의 유보에 대한논의는 CISG 유보규정에 대한 논의만으로는 체약국 유보행위의 법적 분석에 한계를 가진다. 또한 매매협약을 다루는 통일법원이 존재하지 않은 관계로 각 국가의법원에서 이러한 판단을 맡기는 현실에서 체약국의 유보행위에 대한 법적 판단을개별 국가의 법원에서 이루어진다는 것 역시 타당하지 않다. CISG 자체에 법적경험을 근거로 하는 정확한 용어를 사용한 유보조항을 구성하여 보다 명확한 유보조항들을 만드는 것이 더 효율적이고 분쟁의 여지를 줄일 수 있는데, 이를 위해서 CISG 유보조항 자체의 평가 및 분석 그리고 조약법협약에 따른 유보법리에 대한 다면적 분석을 통하여 CISG의 유보조항에 대한 개선점을 제시하고자 한다. 또한 새롭게 성안 될 CISG의 자매조약(sister treaty)은 이러한 축적된 경험을 바탕으로 보다 발전되고 명확한 유보조항을 가지게 될 것으로 기대된다. 끝으로 CISG에서 허용되는 유보조항을 정리하고 각각의 문제점을 지적할 것이며, 실제 CISG의 유보조항이 가지는 불확실성으로 인해 야기된 또는 될 수 있는문제를 소개하고 분명한 사례를 들어 검토 할 것이다.
Abstract
The United Nations Convention on Contracts for the International Sale of Goods(CISG) came into force from 1 January, 1988, which has 88 member countries as of October 2017. This study focuses on the CISG’s reservation in the context of applicability of CISG. The starting point of the CISG‘s reservation and the beginning of research on its improvements to the point of entry into question constitutes a dual nature of CISG’s reservations. The core value of the study on the reservation clauses is to multi-task in a multimodal manner through the analysis of the reservations of the Vienna Convention on the Law of Treaties in the respect of CISG‘s reservation. Discussions on the reservations of CISG like the international unified law have limits on the legal analysis of the reservations of States by itself. In addition, it is not reasonable to submit such judgments to the courts of each country in the application of CISG’s reservation. It is more efficient and less obvious to make a reservation clause using the exact terminology based on the legal experience, and it seeks to propose improvements to the reservations of CISG's retained clauses in the context of the reservations in the Vienna Convention on the Law of Treaties. Also, the newly formed CISG's sister treaty will have a clearer, better defined clause based on these accumulated experiences. In addition, we will clear the reservations allowed by CISG and point out the respective problems. The reservations from the CISG will introduce the problems that may arise due to uncertainty in the doubt and will review them with a clear case.
