Abstract

This paper examines the legal discussions on the creditor’s duty to mitigate damages under German law and the United Nations Convention on Contracts for the International Sale of Goods(CISG) and explores their implications for Korean law. Considering the discussion on the victim(creditor)’s fault under Article 254 of the German Civil Code, the duty to mitigate damages should not be understood merely as an obligation to avoid harm to oneself. Rather, it should be recognized that this duty is directly linked to the interests of the counterparty(debtor) and also constitutes an obligation to consider the counterparty’s interests. Interpreting it in this way would lead to recognizing the duty to mitigate in a broader scope, rather than interpreting it solely as an obligation to oneself. At least, it would not be permissible to deny the duty to mitigate damages simply on the grounds that the creditor has some interests or expectations in not taking mitigation measures. Furthermore, it is necessary to consider not only the creditor’s circumstances, such as whether the creditor could have taken or easily implemented mitigation measures, but also the debtor’s interests, including the extent of the benefits the debtor could gain from such measures and the degree to which the debtor’s expectations regarding those benefits should be protected. The issue of the duty to mitigate damages in our law has typically been discussed in relation to the compensation system, particularly the comparative negligence rule, and an independent legal framework for the duty to mitigate has not been developed. However, in recent times, discussions on the duty to mitigate have become more active in various aspects, including the issue of determining the appropriate point in time for calculating damages within the context of the compensation system, as well as issues related to the binding force of contracts, such as whether the right to claim performance can be restricted in relation to the duty to mitigate damages. Specifically, regarding the issue of whether the right to claim performance of the parties should be restricted by the duty to mitigate damages, two points emerge from the discussions in the CISG. First, the issue of the conflict between legal principles, specifically between the right to claim performance and the duty to mitigate, is closely related to the issue of deviation from the binding force of contracts. Second, it can be observed that the conclusion may differ depending on whether the duty to mitigate is viewed as a principle of the damage compensation law, or as a general principle governing remedies for breach of contract. Whether the duty to mitigate damages holds significance in relation to other systems will be a valuable issue to consider in future discussions of our law.
