초록

2010년대 초반의 남유럽 경제위기를 극복하면서 이탈리아는 기업지배구조 개혁과 함께 경제구조 재편 논의가 활발하다. 이탈리아의 기업지배구조 체제는 개별회사로 하여금 영미식의 일원주의와 독일식의 이원주의 중 하나를 택할 수 있도록 하고 있다. 기본적인 법체계는 프랑스법계에 속하지만, 지배구조 체제는 프랑스식을 따르기 보다 이탈리아식의 전통적인 기관구조 체제에 영미식의 일원주의와 독일식의 이원주의 등을 모두 선택할 수 있도록 하는 ‘선택적 혼합기관구조’를 취하고 있다. 본 논문에서는 우리나라 상법상 지배구조 체제 정비를 위한 비교법적 참고자료의 제공을 목적으로, 이탈리아 기업지배구조 입법과 기관구조 현황을 검토해 보았다. 구체적으로는 이탈리아 민법, 금융중개통합법, 기업지배구조 코드를 중심으로 현행 지배구조 체제를 살펴보았다. 나아가 이탈리아의 주식회사 소유구조 현황과 기관구조 현황들을 차례로 검토해 보았다. 마지막으로 결론에서는 이탈리아 법제가 우리나라 지배구조 체제와 비교하여 어떠한 차이가 있는지 또한 비교 검토의 실익으로 어떠한 시사를 주는지도 생각해 보았다.

Abstract

The Italian corporate governance system has been strengthened in the last decade to increase transparency in the management of companies and to increase the protection for minority shareholders. Italian law gives all limited companies, including listed corporations, the choice among: traditional structure with the board of directors and the board of statutory auditors based on Italian model; one-tier board structure with a board of directors similar to the Anglo-American model; a two-tier structure with a management board and a supervisory board based on a distinction between management functions and the supervision of this management similar to the German model. This paper examines the corporate governance system and the institutional structure of corporations in Italy. In terms of the ownership structure of a corporation, the Italian corporate governance in which the company is usually governed by a family-oriented shareholder group. This paper also reviews corporate governance reforms in Italy. It provides the historical background of Italian corporate governance and an overview of corporate organizations of the Italian Civil Code. By analyzing comparative review of Italy and Korea, it offers some implications concerning corporate governance improvements in Korea.
