최근 새로운 양자투자규범으로 떠오른 FTA 투자챕터는 빠른 속도로 증가하고 있으며 점차 BIT를 대신하고 있다. 따라서 각 체제에 대한 전반적 비교와 양자투자규범으로서의 장단점에 대해 논의해볼 필요가 있다. 먼저 국제법적인 측면에서 기존 BIT의 연혁과 목적을 간략히 살펴보면, BIT는 양자조약형태의 투자협정으로서 ‘외국인 투자자의 보호 및 투자 장려’가 주된 목적이다. 이후 일부 국가들은 기존 BIT의 내용을 FTA의 한 챕터로 포함시켜오고 있는데, 이는 무역과 투자의 연결성을 고려하여 제3국으로부터의 투자를 촉진하고 종합적인 사안을 함께 고려하고자 한 국가들의 선택이었다. 전반적으로 FTA 투자챕터들은 대부분 투자보호의 측면에서는 BIT와 유사하지만 투자자유화의 내용이 추가되었다. 이러한 투자챕터는 협정문 내 투자챕터 또는 후속 투자협정의 형태로 규정되며, 서비스와 투자를 엄격히 구별하는 ‘NAFTA 유형’과 양자를 포괄적으로 규율하는 ‘GATS 유형’으로 나뉜다. 또한 투자자유화의 방식에는 목록상의 분야만 개방하는 ‘포지티브방식’과 유보목록 외 전 분야를 개방하는 ‘네거티브방식’이 사용된다. BIT에 비해 FTA는 좀 더 포괄적인 범위의 협상을 추진하고 무역 및 투자에 대한 영향이 더 크다. 유효기간 또한 좀 더 지속적이며 서비스 규범과 연결하여 다각적인 규범운영이 가능하다. 따라서 한국 또한 최근에는 BIT 대신 적극적으로 FTA 내 투자규범 도입을 추진하고 있으며, 개별 당사국과의 관계에 따라 다양한 방식의 투자챕터를 규정하고 있다. 그리고 한국이 체결한 기존 BIT와 후속 BIT, 나아가 후속 FTA 모두 양자투자규범으로서 상호 보완적인 역할을 하며, 대체되지 않는 경우 규범의 충돌이 없도록 합의되고 규범 간 조화와 보호수준 강화를 도모하고 있다. 지금까지의 BIT 체결 추이와 FTA 협상 계획 등에 비추어 볼 때, 앞으로 한국 또한 한 단계 진화한 양자투자규범인 FTA 투자챕터를 적극 활용할 것으로 보인다. 그러나 각 당사국의 국내경제 여건과 대내외 정책에 따라 좁은 범위의 기존 BIT 방식 또한 함께 활용할 수 있을 것이다.
Abstract
Recently, the number of FTAs having a separate investment chapter is rapidly increasing, substituting BITs. Thus, there needs a comparison between BIT and FTA regarding as the kinds of bilateral investment norms having merits and demerits. First, looking into the history and purpose of the BITs, it is a bilateral treaty which pursues the protection and promotion of foreign investment. Now, some states include the contents of BITs in their FTAs, this is the choice based on the consideration of interrelationship between trade and investment. Also, they intended to have comprehensive regime to consider various issues in the economy. Overall, the investment chapters in FTAs are mostly similar to the BITs when regards to the investment protection, however, the purpose of investment liberalization has been added. Investment rules are incorporated as a chapter or a subsequent agreement in FTAs. While the ‘NAFTA-inspired’ FTAs distinguishes services and investment strictly, however, the ‘GATS-inspired’ FTAs comprehensively deals with services and investment. Generally, compared to BITs, FTAs have a broader scope of negotiation and more impact on trade and investment. Not only their validity sustains more continuously without a specific expiry date but also they contain a wider range of rules across the issue of services and investment. Therefore, Korea is also encouraging the investment chapters in FTAs instead of BITs, and concluded various types of investment chapters based on the relationships with each party. Then Korea's existing BITs and subsequent investment chapters in FTAs are not conflicting but rather being harmonized and complementing each other, pursuing for stronger investment protection. As the trend of BITs and future plans for other FTA negotiations, Korea seems to actively utilize the upgraded form of bilateral investment norms, which is the investment chapter. Nevertheless, the BITs also can be used as another option for making bilateral investment norms.
