Abstract
International investment arbitration addresses public policies of the countries involved, and has significant effect on various stakeholders. As such, transparency is one of the key requirements for these arbitral proceedings. Enhanced transparency of arbitral proceedings offers many benefits including the promotion of legality, consistency, and democratic values. Caution is advised, however, while promoting the transparency of arbitral proceedings, as the efforts may go against the arbitral parties’ intentions, undermine the efficiency of the proceedings, and cause political controversies. In Korea, the issue of arbitral transparency surfaced after the Lone Star case hit the country’s headlines. As such, it would be meaningful to study the transparency of arbitral proceedings under investment treaties in Korea. As for the current status of transparency of arbitral proceedings under investment treaties Korea, the bilateral investment treaties (BITs) signed by Korea do not have provisions on ‘transparency of arbitral proceedings.’ Nor do they incorporate the 2013 United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules, to which the UNCITRAL Transparency Rules apply. In addition, while Korea included provisions on ‘transparency of arbitral proceedings’ ‘amicus curiae,’ ‘expert reports,’ and ‘submission by a non-disputing party,’ in the investment chapters of some free trade agreements (FTAs), a larger number of the country’s FTAs do not have such provisions. Furthermore, none of the Korean FTAs refer to the 2013 UNCITRAL Arbitration Rules. Given these facts, Korea is hardly a country that offers full transparency of its investment arbitration proceedings. Provisions on the transparency of arbitral proceedings form the legal foundation for the Korean government’s publication of information on investor state dispute settlement (ISDS) cases. The Korean government has made sufficient information available for cases such as the Elliot and the Mason case. However, in other cases such as the Lone Star case and the Dayyani case, the government was prevented from full disclosure by the relevant investment treaties. The following paragraphs analyze provisions on arbitral transparency in the Korean legal system. Many Korean laws including the Civil Procedure Act provide for disclosure of court judgments, trials, perusal of litigation records, and statement of relevant witnesses. Article 9 (1) 2 (information pertaining to diplomatic relations) of the Official Information Disclosure Act can be used as a ground for non -disclosure against disclosure claim in ISDS cases involving Korea. In fact, the same provision provided the legal ground for the non-disclosure of notice of arbitration in the Lone Star, Minister of Foreign Affairs, and National Tax Service Commissioner cases. Based on the findings explained above, this study explores ways to promote transparency of arbitral proceedings in Korea. Adopting the UNCITRAL Transparency Rules and the Mauritius Convention on Transparency is not a readily available option for Korea. The rules and the convention require states to disclose witness statements, expert reports, and even tables listing all exhibits, which may disrupt arbitral proceedings and may be inconsistent with the intentions of the parties. A comparison with the Korean legal system indicates that the scope of arbitral transparency under the rules and convention is excessively broad. Consequently, Korea needs to improve the transparency of its arbitral proceedings by joining and revising investment treaties in the long-term, all the while adopting the revised International Centre for Settlement of Investment Disputes (ICSID) Arbitration Rules. However, while the enactment and revision of investment treaties may allow Korea to set the degree of transparency of arbitral proceedings acceptable to Korea, it may take prolonged time and go against the intentions of the counterparties. The revised ICSID Arbitration Rules seem to promote arbitral transparency while minimizing the negative side effects. The revised ICSID Arbitration Rules are scheduled for adoption in early 2022. Korea needs to actively utilize the rules to enhance the transparency of arbitral proceedings
