상법 제368조 제3항은 “총회의 결의에 관하여 특별한 이해관계가 있는 자는 의결권을 행사하지 못한다.”라고 규정한다. 그리고 주주총회결의에 관한 특별이해관계인에 대한 의결권 제한은 상법 제391조 제3항에 의하여 이사회의 경우에도 준용하고 있다. 이러한 주주총회와 이사회 결의에 관한 ‘특별한 이해관계’, 즉 ‘특별이해관계’가 무엇을 의미하는지에 대하여 상법은 아무런 규정을 두고 있지 않고 해석에 맡겨두고 있다. 이 논문에서는 특별이해관계의 의의와 이에 대하여 의결권을 제한하는 근거를 살펴보고, 구체적인 경우에 있어서 특별이해관계의 인정 여부에 대하여 검토한다. 또한 특별이해관계인의 의결권 제한에 대한 입법론도 검토하였다.
Abstract
The Commercial Act Article 368(3) stipulates that “No person who has special interests in a resolution by a general meeting of shareholders shall exercise his/her voting rights thereupon.” This restriction on the specially interested shareholder’s right for the resolution shall be applied as a mutatis mutandis to the board’s resolution pursuant to Article 391(3) of the Commercial Act. The Commercial Act is silent on what ‘the specially related interests’ or ‘the special interests’ in the shareholder’s resolution and the board’s resolution mean, thus leaving it to the interpretations. This paper is scrutinizing both the concept of the special interests and the rationale behind these restrictions, and further reviewing whether or not the special interests would be recognized in a specific case. Also this paper is revisiting some lege ferenda discussions for the restriction on the specially interested shareholder’s right for the resolution.
