중국 상장기업의 지배구조가 사회적 책임활동에 미치는 영향

본 연구는 2009년부터 2013년 기간동안 중국 A시장에 상장된 기업을 대상으로 기업지배구조가 기업의 사회적 책임활동(Corporate Social Responsibility, 이하 CSR)에 미치는 영향을 분석하였다. CSR은 중국 내 CSR 평가기관 중의 하나인 RKS의 CSR 평가점수로 측정하였다. 기업지배구조는 총 4개의 변수를 사용하였는데, 소유구조 측면에서 최대주주지분율과 국유지분율, 경영주체 측면에서 사외이사비율과 이사장과 총경리의 겸임여부를 각각 사용하였다. 회귀분석 결과, CSR에 미치는 다른 변수의 영향을 통제한 후에도 최대주주지분율이 높을수록, 이사장이 총경리를 겸임하는 경우 기업의 CSR은 감소하며, 사외이사비율이 증가할수록 CSR은 증가하는 것으로 나타났다. 그러나 국유지분율은 CSR과 유의적 관련성이 없었다. 이러한 결과는 CSR을 t연도로 측정하든, t+1연도로 측정하든 관계없이 모두 동일하였다. 수익성(ROE) 변수와 기업지배구조 변수의 상호작용변수를 모형에 도입하여 지배구조가 수익성과 CSR의 관계에 미치는 영향을 검증한 결과, 최대주주지분율은 이들 관계에 부정적 영향을, 사외이사비율은 이들의 관계에 긍정적 영향을 미치는 것으로 나타났다. 이는 동일한 재무성과에도 최대주주지분율이 높은 경우는 그렇지 않은 경우 보다 CSR 활동이 감소하고, 사외이사비율이 높은 경우 그렇지 않은 경우보다 CSR 활동이 더 증가한다는 것을 의미한다. 그러나 국유지분율과 이사장의 총경리 겸임여부는 ROE와 CSR의 관계에 차별적 영향을 미치지 않았다.
Abstract
In this study, we examined the effects of the corporate governance on the corporate social responsibility(CSR) in China. Our sample included 2,509 firm-year observations between 2009 and 2013. For empirical research, we used the 4 corporate governance variables (the largest shareholder’s share rate, state share rate, outsider director ratio and concurrent position of chairman and CEO) and CSR evaluation values from RKS in China. The results show that the largest shareholder’s share rate and concurrent position of chairman and CEO are statistically negatively related to CSR, while outsider director ratio is positively related to CSR. But state share rate is irrelevant to CSR. The results also show that the largest shareholder’s share rate has negative effects on the association between ROE and CSR, while outsider director ratio has positive effects on them. But state share rate and concurrent position of chairman and CEO do not have effects on them.
