인수후 부실기업의 회생전략 및 최고경영자의 리더십에 대한 사례분석: W제약회사를 대상으로

본 연구는 인수된 부실기업이 구사하는 회생전략의 과정과 내용 그리고 이 과정에서최고경영자가 구체적으로 행하는 리더십에 대해 W제약회사를 대상으로 분석한 사례연구이다. 본 연구에서는 회생기업의 회생과정, 회생전략의 유형, 변화와 관련된 리더십유형들에 대해 검토하였다. 분석대상인 W제약회사는 약품을 생산하는 비상장된 중소규모의 제조기업이며, W제약회사의 현황과 제약산업의 특징에 대해서도 검토하였다. 분석결과는 다음과 같다. 부실기업 인수후 회생기업의 회생과정에서 나타나는 회생단계를 보면 감축과 회생의 2단계를 겪는 것으로 보인다. 회생기업이 회생과정에서 실행하는 수익성향상전략과 효율성향상전략들은 W제약회사의 회생과정에서도 나타났었다. 회생과정에서 최고경영자가 발휘하는 리더십은 최고경영자의 경험과 배경을 많이반영하는 것으로 보인다. 변화와 관련하여 변혁적 리더십 보다는 거래적 리더십이 많이활용되었다. 환경의 분석을 바탕으로 전략을 설정하고 실행하는데 전략적 리더십이 많이관련되는 것으로 보인다. 또한 신속하게 경제적 수익창출을 목표로 하는 E이론과장기적으로 기업문화를 형성하여 변화하려는 O이론 등과 관련하여 볼 때 두가지 모두W제약회사의 회생과정에서 나타났다.
Abstract
This study is a case study of W pharmaceutical company on turnaround strategy and CEO's leadership of the insolvent enterprise after acquisition, Theoretically, we reviewed the contents and types of turnaround strategy for the insolvent enterprise, and also leadership styles causing changes. we examined all aspects of W pharmaceutical company that is a medium sized manufacturing company, and additionally characteristics of pharmaceutical industry. The results of this study are as follows; first we found two stages of retrenchment and recovery in the turnaround situation of W pharmaceutical company, second entrepreneurial strategy and efficiency strategy was used in the process of turnaround, third for bringing about changes, transactional leadership was more used than transformational leadership, CEO's leadership in the process of turnaround seemed to be influenced by his experiences and background, and we could find that strategic leadership was more related to the environment analysis and the formulation of strategy, finally we could also see Theory E and Theory O in this W company.
