Abstract

A Case Study on the Officers in the Corporation The primary purpose of this study is to analyze the supreme court case in relation to Officers and to introduce Officers officially in the corporation. In other words, this paper proposes the introduction of Officers in corporation to overcome the problems of the Board of Directors as well as Outside Directors and Audit Committee which were introduced in corporation law, securities exchange law and other financial laws after the crisis in request of IMF. The secondary purpose is to propose the enactments and amendments of corporation law, securities exchange law, and some financial laws to introduce Officers in corporation and financial institution. First of all, I researches officers which are introduced in Korean corporations. I also studies legal status of Officers which the Korean corporations have, especially focussing on their contract, compensation, sources of authority, duties, liabilities. I researches officers in the U.S., and Japan. I deals with the cases concerning with officers in Korea. In the case, the supreme court denied Officers in the corporation. I discusses the necessity to introduce officers in Korea. In the conclusion, I arrange the discussion above-mentioned, and especially proposes the necessity of legislative improvements with regard to outside directors and audit committee, and the introduction of officers especially in corporation law. I hope this paper will provide useful information on the corporate governance in Korea , which has been considerably changed since the financial and currency crisis.
