집행임원제도도입과 회사지배구조의 변화

Abstract

According to the Revised Bill of Korean Commercial Code, Executive Officer System is introduced in order to ensure the stabilization of management on the internal factors of corporation and offer the safety of Transaction on the external factors by means of providing legal status for professional managers who take complete charge of the management of business. The bill provides that Executive Officers are elected by board of directors, their terms expire in less than two years and they have rights and responsibilities similar to those of directors that governed by present rules, also they are announced publicly with registration on the corporate registry. Moreover, It provides that a corporation is able to choose whether to adopt this system or not and a director can hold an additional post of an executive officer. Actually, there are not a few of the opposing views on the introduction of executive officer system. Therefore, this thesis checks up arguments for and against instruction of the system and analyzes the present condition of officers to estimate what kind of role executive officer system plays in reorganizing corporate governance.
