오늘날 ‘지속가능성’은 회사법의 전 분야에서 가장 공통적으로 지향하는 용어가 되었다. 2011년 유엔의 「기업과 인권에 관한 지도원칙」이 채택된 이래 각국 정부와 기업, 국제기구나 이니셔티브는 ‘지속가능성’을 지지하는 소프트 로를 많이 채택하였고, 일부는 경성규범으로 자리 잡았다. 연성규범으로, 국제회계기준(IFRS)재단 산하 국제지속가능성기준심의위원회(ISSB)가 2023년 6월 26일 최초로 「지속가능성 정보의 공시기준」을 공표하여 지속가능성 정보의 일관성과 비교가능성을 높인 것은 매우 중요한 진전이다. 한편 2024년 7월 5일 EU는「기업 지속가능성에 대한 상당한 주의에 관한 지침(The Corporate Sustainability Due Diligence Directive (CSDDD) - Directive (EU) 2024/1760)을 관보에 게재하였다. 지침은 2024년 7월 25일 발효하였다. 이는 기업의 운영 및 공급망이 인권과 환경에 미치는 영향을 식별, 완화 및 보고하도록 의무화하고 있다. 지침은 역내시장에서 활동하는 기업이 지속가능한 개발과 경제 및 사회의 지속가능성으로 전환하는데 기여할 수 있도록 EU 및 비EU 기업 모두에 적용된다. 앞으로 2년 이내에 27개 EU회원국이 입법을 마쳐야 하며 2027년 7월 26일부터 유럽 역내·외의 기업에 대하여 인권과 환경에 대한 지속가능성에 상당한 주의를 기울일 법적 의무가 부과된다. 우리나라 기업이 이 법의 적용을 받을 경우도 예상되지만, 이를 떠나 이 지침은 지속가능성에 대하여 꾸준히 성문법 제정작업을 진행해 온 EU에서도 매우 중요한 입법 조치라는 점에서 유력한 글로벌 기준의 하나가 될 것으로 보인다. 본고는 2024년 EU 지침의 제정 배경과 경위, 향후 진행 일정을 소개하고 주요내용을 살펴 본 것이다. 이를 통하여 ESG, SDGs, PRI 등의 국제 조류 속에서 우리나라 기업들이 국제적 기준에 부합하는 입법과 정책의 방향과 기준을 찾는 작업에 도움이 되었으면 한다.
Abstract
Today, 'sustainability' has become the most common purpose in all areas of corporate law. Since the adoption of the UN Guiding Principles on Business and Human Rights in 2011, governments, companies, international institutions, and initiatives have adopted many soft laws that support 'sustainability,' with some being established as hard laws. As one of the soft laws, the International Sustainability Standards Board (ISSB) under the International Financial Reporting Standards (IFRS) Foundation issued the first sustainability information standard (IFRS S1 [General Requirements of Sustainability-related Financial Information]) on June 26, 2023, to improve the consistency and comparability of sustainability information. In hard law, on July 5, 2024, the Corporate Sustainability Due Diligence Directive (CSDDD) was formally published in the Official Journal of the European Union and entered into force on July 25, 2024. It will mandate companies to identify, mitigate, and report on the impact of their operations and supply chains on human rights and the environment. Directive (EU) 2024/1760 applies to both EU and non-EU companies operating in the EU, ensuring that companies active in the internal market contribute to sustainable development and the sustainability transition of economies and societies. Within the next two years, 27 EU member states must complete their legislation, and from July 26, 2027, companies both inside and outside the EU will be obliged to conduct due diligence regarding human rights and environmental sustainability. It is also expected that some Korean companies will be subject to this directive. Apart from this, the directive is one of the strong global standards, as it is a very important legislative measure in the EU, codified for sustainable functionality. This paper introduces the background, process, future progress, and main contents of the EU Directive. Through this, it is intended to help Korean companies find the direction and standards of legislation and policy that meet international standards in the global trends of ESG, SDGs, and PRI.
