벤처투자조합의 법적 성격과 소송 당사자능력에 대한 검토

초록

벤처투자조합의 결성을 통한 스타트업 투자가 증가하고 있음에도 불구하고 관련 정책과 규제 측면의 논의에 집중되어 효율적인 분쟁 해결의 전제가 되는 벤처투자조합의 법적 성격이나 소송 당사자능력에 대한 검토는 부족했다. 특히, 벤처투자조합은 벤처투자촉진에 관한 법률 및 여신전문금융업법의 법적 근거에 따라 거의 같은 구조로 결성됨에도 관련 분쟁 발생시 개별 사건 별로 벤처투자조합의 법적 성격과 소송 당사자능력을 검토하고 있다. 이로 인해 벤처투자조합의 소송 당사자능력에 대한 판결이 일관되지 않아 실무상 혼란이 지속되고 벤처투자조합과 관련한 분쟁의 효율적 해결이 용이하지 않다. 이에 본 논문은 벤처투자조합의 소송 당사자능력과 관련한 판례의 태도를 검토하고, 미국 및 일본과의 비교법적 분석을 통해 벤처투자조합의 법적 성격을 명확히 하고 벤처투자조합의 소송 당사자 능력을 입법으로 인정할 것을 제안한다. 상법상 합자조합의 특수한 형태로서의 벤처투자조합의 법적 성격을 명확히 하고, 법률 개정을 통해 벤처투자조합의 소송 당사자 능력을 명시하여 관련 분쟁의 효율적인 해결을 도모할 필요가 있다. 또한, 이와 동시에 벤처투자조합의 법적 실체를 거래 또는 소송의 상대방이 확인할 수 있도록 벤처투자조합과 관련한 공시제도를 보완해야 한다는 점을 지적한다. 이를 통해 벤처투자조합과 관련한 분쟁을 효과적으로 해결할 수 있다는 신뢰가 형성되면 벤처투자조합의 발전과 벤처투자 활성화에 기여할 수 있을 것이다.

Abstract

This paper demystifies venture capital funds' legal characteristics and the capacity for legal standing under Korean law. In line with the rapid growth of venture capital investment, litigations brought by or against venture capital funds have increased in Korea. Although venture capital funds have de facto acted as separate economic entities in practice, the Korean court has taken a case-by-case approach for each case, resulting in inconsistent outcomes regarding the funds' capacity for legal standing. This is primarily because the features of venture capital funds have yet to be examined in court decisions. Having adopted limited partnership forms from venture capital funds in Silicon Valley, Korean Venture capital funds have been incorporated in limited partnership forms based on special statutory laws, including the Venture Investment Promotion Act or the Specialized Credit Finance Business Act. However, controversies remain in Korea over whether limited partnership forms are aggregates of contracts or separate entities. By identifying problems associated with conflicting court cases on venture capital funds' capacity for legal standing, this paper suggests relevant legal frameworks explicitly state venture capital funds' capacity for legal standing based on ascertaining venture capital funds as separate legal entities from their partners. Furthermore, it needs to be accompanied by further refinements and developments in venture capital funds' disclosure schemes, under which funds need to notify their fundamental structures, including the termination date of the funds and the general partner. These two measures may contribute to the efficient dispute resolution associated with venture capital funds, ultimately leading to developments in the startup ecosystem in Korea through active investments.
