Abstract

The need for arbitration is increasing with the rise of international transactions. For international arbitration, enforceability is a crucial factor for parties who decide to initiate an arbitral procedure, and the court can intervene in the process of enforcement of arbitral awards. While the intervention of the court within the arbitral process is indispensable as it can paradoxically increase the efficiency and credibility of the arbitration system, the actual practices of the court in each state vary. There are “minimalist approach” and “maximalist approach”. Generally, most countries are based on “minimalist approach”, not allowing the court to interfere with the arbitral system on the grounds of the mere error of the application of the law or fact findings in arbitral awards, with the respect of arbitrators. Considering the will of parties to choose the arbitral process and the predictability and stableness of international arbitration, the minimalist approach, which values the autonomy of the arbitration system while reinforcing the legitimacy of the arbitration, should be applied as a fundamental principle. However, it should be noted that there is a profound debate over what is the appropriate approach with the arbitration regarding antitrust matters as antitrust law is based on the principle of ensuring the fundamental concept of “free market”, “economic democracy”, and “consumer welfare”. The part where the court can exercise huge discretion, possibly intervening in a substantial element of the arbitral award, is the interpretation of “public policy” in the process of the annulment or refusal of the enforcement of the arbitral award. The concept of public policy itself includes substantive evaluations, and it is inevitable that each state’s unique cultural and social system is imbued in the interpretation of the public policy, resulting in disparate practice of “public policy exception clause” among states. Concerning the interpretation of public policy, the implementation of “national public policy” may hinder the consistency of the arbitration system, leading to the parochial interpretation. The perspective of “transnational public policy” is undesirable as it may inflict the state sovereignty and there is no internationally agreed norm for the time being. Thus, “international public policy”, considering diverse perspective of foreign countries on the basis of national standards, would be the most suitable standard, which can enhance the predictability and consistency of international arbitration as well as the increment of the efficiency and enforceability of arbitration. As to respective reasons for the violation of public policy, there are fraud, corruption, and the infringement of competition law. As discussed before, since the court’s intervention should be limited, the court can grant the violation of public policy on limited grounds, such as when there is fraud or corruption in the arbitral process or when an argument of fraud or corruption with the dispute itself is vindicated with concrete and objective evidence, which was not handled at all in arbitral process without any negligence of the party, and it is manifestly against the justice and moral principles. With regard to antitrust matters, different precedents are rendered among states or within a state. Based on the minimalist approach and the fact that antitrust issues are determined differently based on economic analysis, the court can interfere in antitrust issues in arbitration awards, only when there is a manifest violation of crucial values as “fair, free market” and “consumer welfare”. Also, the court has discretion with the matter of “enforcement of annulled award”. It is asserted that the court can have discretion over whether to enforce the annulled award after judging various factors such as the rationality of the annulled reason, and whether the annulled reason is based on international perspective or uniqueness of national law. Overall, the interpretation discussed above will ensure a balanced view over the relationship between the court and arbitration system, which will be ensued by the reinvigoration of the arbitration process and enhancement of Korea’s status as an arbitral seat.
