Abstract

Most of the current contracts are concluded in the form of the terms and conditions. By virtue of the「Act on Regulating Standard Form Contract」(hereinafter “the Act”) in which a duty to explain the terms and conditions is imposed on the business entity that unilaterally provides such terms and conditions, all transactions based on the terms and conditions, in principle, require the fulfillment of such duty. This duty assists consumers in making informed decisions by duly providing relevant information, thereby overcoming the asymmetry of information and drawing up a standard form contract closer to an ideal contract situation. Therefore, a duty of explanation is significantly meaningful both in practice and theory. It is interesting to note that many jurisdictions including Germany, USA, UK, and Japan do not impose such duty to explain. China recently promulgated a new Civil Code with a provision concerning the duty to explain the terms and conditions. However, this duty occurs only when a consumer requests explanation, unlike under the Act in Korea, which makes the duty of explanation under Korean law a peculiar case. One may argue, based on the above comparative law observation, that the duty to explain should be abolished and be delegated to individual laws as necessary, and other duties such as duty of reasonable notice or duty of transparency under the Act should be utilized more actively. However, given its function providing information on important content of the terms and conditions as well as its widespread acceptance in the trade, it may be far󰡈fetched to say that the provision on the duty to explain needs to be abolished. Rather, proper interpretation of the provision should be a priority. Meanwhile, the imminent and grave task on the legal discourse regarding duty to explain is to clarify the subject of the duty and the way of fulfilling the duty. An “important content” of the terms and conditions subject to the duty of explanation, in this regard, needs to be evaluated in terms of predictability and fairness, and predictability needs to be measured on the basis of an average consumer, not a specific consumer. The meaning of “explanation,” a method of performing the duty to explain, needs to be reinterpreted more flexibly and practically with the surge of untact economy where non face󰡈to󰡈face transactions become even more prevalent. In such transactional setting, duty to explain may converge with other informational duties such as duty of reasonable notice or duty of transparency as observed in other jurisdictions. Given the need to transform the meaning of “explanation” in untact transactional setting, such convergence should be understood and accepted as a natural consequence.
