(Proposal for a regulation on Markets in Crypto-assets: MiCA)안의 입법이 진행되고 있다.
Abstract
Despite virtual asset has been regulated for the first time by national law that is the amended 「Enforcement Decree of the Act on Reporting and Use of Certain Financial Transaction Information」, regulation for virtual asset is still imperfect. In the United States, regulatory authorities take action to regulate virtual assets independently. Especially, the Securities and Exchange Commission aggressively apply and execute the 「National Security Act」 by deciding most of virtual asset is a investment contract. In the European Union, the fifth Anti-Money Laundering Directive(5AMLD) is enforced for preventing money laundering. In addition, the proposal for a regulation on 「Markets in Crypto-assets(MiCA)」 is in the ongoing legislative process for regulating all virtual assets. In the Republic of Korea, virtual asset is defined as “electronic certificates (including all rights thereto) that have economic value and that can be traded or transferred electronically” on the 「Enforcement Decree of the Act on Reporting and Use of Certain Financial Transaction Information」, so that most of virtual asset is regulated by the act to prevent money laundering. Also, duty of registration is imposed when money is transferred oversee to buy a virtual asset by 「Foreign Exchange Transactions Act」. Income tax is imposed on a profit margin when purchase and sale of virtual asset by amended 「Income Tax Act」. International organizations including OECD, IOSCO and a few national regulatory authorities are categorizing virtual asset as payment tokens, security tokens and utility tokens. Payment tokens used for payment or settlement is a sepecial type of property right, and could be a electronic payment means defined on 「Electronic Financial Transactions Act」. However, the 「Electronic Financial Transactions Act」 cannot be applied directly to payment tokens which issuer is not specified or central computer system not exist because of using distributed ledger technology. Registration may be required by 「Foreign Exchange Transactions Act」 for the virtual asset called Bitcoin which is now a legal tender of El Salvador. Security tokens, which is similar to a security or a investment contract securities because of its investment characteristic, could be regulated as securities by 「Financial Investment Services And Capital Markets Act」 because security tokens are Financial Investment Instruments defined in the above law. There is no need to regulate pure utility token which has no economic value. However, the regulation of payment tokens or security tokens also need to be applied together if a utility tokens served as payment tokens or security tokens. A new type of virtual asset which is not included above classification emerges. non-fungible tokens(NFT), which each tokens of the token’s block chain is unique, should be regulated on a case by case basis by the characteristics of each NFTs because some NFT type such as f-NFT could be regulated as security. Stablecoin, which its value is linked to a legal tender, could be categorized as payment tokens and need to be regulated as electronic currency because it might cause a confusion with a legal tender. Also, regulation for security token could be applied when the offering of stablecoin is similar to a securities offering. Because virtual asset has various legal characteristics, segmented regulations by virtual asset’s category is needed. In case of payment tokens, regulation of electronic payment means on 「Electronic Financial Transactions Act」 should be applied to prevent massive user damage. Security tokens need to be included on 「Financial Investment Services And Capital Markets Act」, and Financial Services Commission, whose in charge of virtual asset policy, should decide which virtual asset is a security to protect investors. However, the way to legalize in stages such as making an exception for small-scale businesses should be provided to support the development of virtual asset technology, In addition, providing grounds to a regulation for preemptive investor protection as well as regulatory sandbox should be prepared for new types of virtual asset such as NFT so that there is no regulatory blind spot.
