반면, FET 분석 시 중요 요소인 국제법에 따른 대우(treatment in accordance with international law)는 다소 소홀히 다루어진 측면이 있다.
Abstract
As the international community actively takes various measures to mitigate and adapt to climate change, Investor-State Dispute Settlement (ISDS) is at the center of discussion. Increasingly, countries are concerned about its impact on climate change, particulary seen as a potential for its regulatory chill effect. Usually, investment arbitrary tribunals prioritize safeguarding the expectation of investors over the interests of the host country. This has been reflected in the application and interpretation of the Fair and Equitable Treatment (FET) principle. As is widely known, the FET principle is one of the most actively discussed issues in the substantive proceedings of ISDS and serves as a yardstick of the relationship between foreign investors and host countries. In particular, how the FET principle is applied or interpreted can have a substantial impact on the exercise of governmental regulatory authority. Since the first case dealing with the FET principle, the Metalclad case, the application and interpretation of the FET principle have increasingly focused on the unfairness from the investor's perspective. On the other hand, the treatment in accordance with international law, which is also a critical element in the FET analysis, has often been somewhat neglected. One of the recently concluded international investment agreements, the United States-Mexico-Canada Agreement (USMCA), is significant because the major countries that had actively introduced and utilized ISDS have newly revised their norms for the first time in about 25 years. USMCA modernizes the FET principle. First, the agreement provides a more concrete framework for the somewhat ambiguous FET norms by presenting an exhaustive list of what constitutes FET. Second, to balance the legitimate expectations of investors with the host country’s right to regulate, it clarifies the requirement of exhausting domestic remedies. This approach reinforces customary international law requirements, which were previously not given much attention in the application or interpretation of the FET principle. This shift can be seen as an effort to more robustly protect the state's legitimate regulatory authority, moving away from the past practice that emphasized the unfairness from the investor's perspective. These changes provide a useful guidance for the future application and interpretation of the FET principle in ISDS. First, it reaffirms that investor expectations should be considered reasonable and legitimate, rather than subjective, and that evidence supporting these expectations should be thoroughly examined with a stricter adherence to customary international law requirements. Second, the principle of exhausting domestic remedies should be employed to rebalance the relationship between investors and host countries in addressing global challenges like climate change.
