Abstract
This study investigates whether mispricing affects insider trading. Specifically, it examines whether insiders are selling as market value is higher than its intrinsic value. Also it examines whether insiders adjust their firm's comparability to gain private benefit at the time of the valuation error. The findings are as follows. First, the greater the overvaluation, the greater insider's net selling. This result suggests that insiders increase net selling when stock is overvalued. It means that insiders are benefiting from valuation errors. Second, the more insider trading, the lower the comparability. The more comparable the accounting information is, the more the external investors can understand the intrinsic value of the firm. Thus, the benefits that insiders can gain from transactions can be reduced. Therefore, it is interpreted that insiders reduce comparability to avoid such low profits. This study is meaningful in that the mispricing can be a determinant of insider trading. In addition, it is significant that the insider's propensity to pursue profits can be a motive to lower comparability, which is one of the characteristics of accounting information. This study suggests that policy makers should encourage insiders to provide information about private information of the firm to the market so that insiders should not benefit from valuation errors. In addition, this paper suggests that the government needs to monitor and supervise the companies to prevent intentionally lowering the comparability of accounting information.
