This article, at first, discussed the theory of corporate governance and the special features of the cooperatives' management and governance. Second, it discussed the size of boards of directors, methods cooperatives use to select and nominate board candidates and examined election and member voting policies in agricultural cooperatives in U.S. Third, this article identified seven basic responsibilities imposed on every cooperative board of directors and the legal standards that directors must meet and can protect themselves as well as the cooperative. Finally, This article suggested some implications to improve the capabilities of agricultural cooperatives' board of directors and research issues.
Abstract
