미국의 중소기업협동조합법제 - 미국 중소기업법(Small Business Act)을 중심으로 -

이 글은 미국의 중소기업 협동조합 법제를 다룬다. 미국의 중소기업 협동조합은 중소기업과 협동조합의 교집합인 만큼 2중으로 보호받는다. 중소기업은 1953년 중소기업법(Small Business Act)이라는 연방법을 통해, 협동조합은 협동조합의 공동행위(이른바 협동)에 대한 독점규제법 적용배제를골자로 한 여러 법률과 중소기업법을 통해 보호받는다. 미국에서는 “민간기업 경제체제의 핵심은 자유경쟁이며, 자유경쟁의 보장 및 확대는 국가의 경제적 풍요뿐만 아니라 국가 안보의 기본이며, 이를 위해서는 중소기업의 현재 및 잠재 능력이 신장되고 개발되어야 하며, 정부는 가능한 한도 내에서 중소기업을 지원하고 보호하여야 한다”는 법철학적 토대 위에서 중소기업의 역할을 중시한다. 중소기업 지원에서 금융지원과 독점금지법 적용제외가 핵심이며, 경제적 약자에 해당하는 소외지역, 특정집단, 여성, 재향군인, 소규모 산업, 재난 구조등에 대한 각종 지원 프로그램과 멘토링이 결부되어 촘촘하게 법제를 발전시켜 왔다. 중소기업이대기업에 비하여 가지는 한계를 극복하기 위하여 협동조합 형태의 거버넌스와 네트워크 형태의 연합사업 전략이 필요한데, 중소기업법 제11조를 통해 중소기업 간 자발적 합의와 공동협정에 대하여국가안보와 공공이익에 부합하는 한 적극 보호하고 있다. 한편 우리나라는 미국만큼 중소기업 지원법제가 촘촘하지 못했으며 강력한 법철학적 토대 위에서 있지도 않았다. 협동조합의 공동행위는 공정거래위원회의 공동행위 불허 원칙 등으로 현실적 제약을 받는다. 협동조합이 독점금지법 적용제외를 받은 사례가 전무(全無)하고 특히 사업협동조합인중소기업협동조합이 받을 수 있는 법적 혜택은 없었다는 점은 이를 반증한다. 지난 정부 들어 중소벤처기업부가 출범하였는데, 중소기업협동조합을 위한 법적 지원을 위한 입법노력이 더 경주되어야 한다. 중소기업과 협동조합의 순기능이 상호작용하여 우리 경제시스템이공정거래를 지향하고 민주적이고 효율적으로 작동되는 데 이바지할 수 있어야 하기 때문이다.
Abstract
This article examines the small and medium-sized cooperative legal system in the United States. In America, Small Business Act 1953 and Capper-Volstead Act 1921 helped the development of coops. The United States claimes that the core of the private enterprise economic system is free competition, and the guarantee and expansion of free competition is the basis not only for the country’s economic prosperity but also for national security. To this end, the current and potential capabilities of small and medium-sized enterprises must be expanded and developed, and the government must understand that the role of small and medium-sized business is emphasized based on the legal philosophy that small and medium-sized businesses must be supported and protected to the greatest extent possible. In supporting SMEs, financial support and exclusion from antitrust laws are key, and various support programs and mentoring for economically underprivileged areas, special groups, women, veterans, small-scale industries, disaster relief, etc. are combined to form a detailed legal system. Meanwhile, the Korean legal system supporting small and medium-sized enterprises was not as thorough as the United States, and it did not stand on strong legal and philosophical foundations. In addition, the joint actions of cooperatives are subject to practical restrictions due to the Fair Trade Commission's principle of disallowing joint actions. This is proven by the fact that there are not any cases in Korea where cooperatives have been exempted from the application of antitrust laws, and in particular, there are no benefits for SMEs as business cooperatives. The Ministry of SMEs and Startups was launched under the last government, and more legislative effort should be made to provide legal support for SME-cooperatives. In this way, the positive function of SMEs must be maximized so that they can contribute to the fair trade-oriented, democratic and efficient operation of the country’s economic system.
