미국 개정 수평 기업결합 가이드라인에 관한 법적 검토

2010년에 미국 수평 기업결합 가이드라인이 개정되었다. 기업결합의 경쟁제한성에 대한 증거를 분석하기 위한 다양한 분석 기법의 활용 강조, 경쟁당국의 집행 경험상 당해 기업결합의 경쟁제한적 효과를 예측하는 데 유용했던 증거의 유형 및 출처 제시, 시장획정은 분석의 목적 또는 당연한 출발점이 아니며, 시장집중도 또한 결합의 경쟁에 대한 영향을 예측하는 데 유용한 하나의 도구에 지나지 않음을 강조, 기업결합의 단독효과와 협조효과에 대한 세부적 분석 방법을 추가 내지 보완한 것 등이 주요 개정사항이다. 가이드라인의 개정을 통하여 경쟁당국의 기업결합 심사의 투명성을 제고하고, 수범자인 사업자나 변호사들에게 좀 더 명확한 기준을 제시하는 효과를 기대할 수 있을 것이다. 미국의 기업결합 심사기준은 우리나라나 세계의 기업결합 규제에 미치는 영향이 매우 크기 때문에 그것을 면밀히 분석하고 평가하는 작업이 필요하다. 그리고 공정위는 당해 기업결합의 경쟁제한성 및 항변의 유효성 판단에 필요한여러 요소들을 엄격한 증거를 바탕으로 다양한 분석기법에 따라 검증하여야 할 것이며, 미국 개정 가이드라인으로부터의 시사점 등을 적절히 규범화하여 보다 객관적이고 명확한 기업결합 심사 기준을 만들어 나가야 할 것이다.
Abstract
Through the 2010 revision of the U.S. Horizontal merger guideline(HMG), antitrust authorities attend to heighten transparency of the process of analyising the designed merger and to give more clear standard to undertakings and lawyers. The HMG is used not as a direct legal tool to prove anti-competitiveness, but as a guiding light to some factors in examining the planned merger. The revision of the HMG gives some legal implications to our enforcement system : for example, assessing the anti-competitiveness of the merger with various, objective evidences and proving methods.
