Abstract
This study investigates how board independence affects stock price crash risk among Chinese A-share firms listed on the Shanghai and Shenzhen Stock Exchanges from 2014 to 2023, focusing on differences before and after the new Securities Law. The full-sample regression results show no significant effect, but when the sample is split, board independence fails to reduce crash risk before the reform and significantly mitigates it afterward. These results suggest that the new Securities Law strengthened the monitoring role of outside directors by enhancing disclosure obligations and investor protection. Overall, the study provides evidence that institutional reforms can enhance corporate governance effectiveness in China’s capital market.
