Abstract

This article examines how the introduction of the OECD’s Pillar Two global minimum tax (15 percent) has shifted international tax competition from statutory-rate cuts to the adjustment of the tax base, initiating a new phase of “capital competition.” Focusing on the four representative measures ― (i) cash-flow measures, (ii) qualified refundable tax credits (QRTCs), (iii) non-qualified refundable tax credits (NQRTCs), and (iv) non-qualified refundable tax credits embedded in the value-added-tax system (indirect-tax NQRTCs) ― the article compares and analyzes distinct impacts on multinational enterprises’ Pillar Two effective tax rate (ETR), top-up-tax exposure, and overall after-tax economic position. The analysis shows that cash-flow measures act merely as timing adjustments affecting the denominator (GloBE income) under the GloBE Rules, thus leaving the ETR unchanged while enabling the companies for immediate investment recovery. Conversely, QRTCs increase GloBE income (the denominator) and decrease the ETR, and consequently increase the risk of an additional top-up taxes. NQRTCs, by reducing the numerator (covered taxes), more significantly lower the ETR and can trigger even greater top-up tax obligations. In contrast, an indirect-tax NQRTC reduce accounting income, thereby elevating the ETR, eliminating any top-up-tax exposure, requiring no direct fiscal government expenditure for the refund and remaining unaffected by WTO or EU State-aid regulations. These findings indicate that with statutory-rate competition constrained, the domestic structuring of indirect-tax NQRTCs could become a powerful tool for jurisdictions seeking to attract capital in the post-Pillar Two era. Unless the QRTC/NQRTC classification framework is broadened in a tax-neutral manner to capture indirect-tax incentives, Pillar Two risks merely shifting competitive pressures from headline corporate tax rates toward to the indirect taxation and fiscal subsidies.
