기업구조조정촉진법과 미국, 영국, 호주의 절차 비교법적 연구 - 도산실무가 및 기업개선계획 공고 제도 도입 제안 -

기촉법상 관리절차와 미국, 영국, 호주의 구조조정절차를 비교 분석하였다. 기촉법상 관리절차는 회생절차와 파산절차의 중간에 위치해 있는 조기 구조조정절차로서 독자적인 존재의미가 있다. 기촉법상 관리절차는 채무자회생법상 회생절차에 비해서 채권자 중심으로 절차가 진행되고, 관리인을 선임할 필요가 없으며, 기업개선계획안에 대하여 법원의 사전 인가가 필요 없다는 점에서 존재의의가 있다. 그러나 현행 기촉법상 관리절차에는 법원의 사전인가도 없고 제3자 전문가의 감독도 없다. 따라서 도덕적 해이와 대리인 문제가 발생할 가능성이 있다. 기업개선계획 이행약정이 공시되지 않아서 관리대상기업과 관련된 이해관계자들이 불측의 손해를 입을 가능성이 있다. 뿐만 아니라 채무자 회사와 채권자들만 비공개적으로 폐쇄적으로 기촉법상 관리절차를 진행할 수 있는 가능성이 있다. 기촉법상 관리절차에도 영국의 도산실무가(insolvency practitioner)와 같은 제3자 전문가가 절차를 진행 또는 감독 하도록 하는 방안을 제안한다. 영국의 CVA 절차와 호주의 자발적 관리(voluntary administration) 및 DOCA 절차에서는 계획안에 대하여는 법원이 사후 사법심사만 할 수 있지만, 법정 자격을 갖춘 도산실무가(insolvency practitioner)가 절차를 주관한다. 또한 영국의 SoA 절차, 구조조정계획(restructuring plan) 절차, CVA 절차, 호주의 SoA 절차, DOCA 절차를 참고하여, 기촉법상 기업개선계획 이행약정의 중요사항을 법원을 통하여 공시하도록 하는 방안을 도입할 것을 제안한다.
Abstract
This article comparatively analyzes the restructuring procedure under the Korean Corporate Restructuring Promotion Act (“CRPA”) comparing with the UK and Australian procedures such as the scheme of arrangement (“SoA”), the restructuring plan procedure, the company voluntary arrangement (“CVA”) of the UK, and the SoA and the voluntary administration and Deed of Company Arrangement (“DOCA”) of Australia. The restructuring procedure under the Korean CRPA is meaningful as a process in the middle of a workout, a purely private procedure that requires 100% creditors’ consent, and reorganization or administration, a statutory process. The disadvantages of the CRPA are as follows. The court can review the company restructuring plan only if a lawsuit is filed after the resolution of the plan. Therefore, there is a possibility of moral hazard and agency problems in the restructuring procedure under the CRPA. Moreover, the corporate restructuring plan resolved under the CRPA is not publicized. This makes it difficult for interested parties to investigate the corporate restructuring plan and it is possible for them to suffer unexpected damages. In the CVA of the UK, a nominee, who is a qualified insolvency practitioner, manages the process and a supervisor monitors the company’s implementation of the CVA. In the voluntary administration and DOCA process of Australia, the administrator manages the process. If Korea would adopt the system of insolvency practitioner of the UK and appoint a neutral third party professional to carry out and supervise the restructuring procedure fairly and transparently, moral hazard and agency problems could be prevented. In addition, it is necessary to consider a system to publicize the corporate restructuring plan through the court after it is resolved at the financial creditors meeting, referring to the systems which the SoA, the restructuring plan and the CVA of the UK are registered with the Registrar of Companies, and the SoA and the DOCA of Australia are registered with the Australian Securities and Investments Commission.
